WHEREAS, Applicant was previously granted certification by Certifying Authority identified above and holds active certification under Certification ID provided herein; and

WHEREAS, Applicant seeks recertification for the same scope or an amended scope of certification and agrees to submit required documentation, fees, and to comply with the review procedures established by Certifying Authority; and

WHEREAS, Certifying Authority agrees to evaluate Applicant's submission and, if Applicant meets the applicable standards, to renew certification subject to the terms and conditions set forth in this agreement and any controlling policies of Certifying Authority.

Either party may terminate this recertification process for cause upon written notice to the other party. Prior to termination without cause, the terminating party shall provide notice at least days in advance.

Termination for material breach will permit the non-breaching party to seek available remedies and to recover any unpaid fees or costs incurred through the effective date of termination.

Confidentiality

Each party shall maintain in confidence all non-public information and documentation provided in connection with this recertification, including Applicant records and evaluation materials (the "Confidential Information"), and shall not disclose such information except to employees, agents, or contractors who have a strict need to know and who are bound by confidentiality obligations at least as protective as those set forth herein.

Confidential Information does not include information that is or becomes public through no fault of the receiving party or that is required to be disclosed by law or by a binding order of a court or regulatory body, provided the disclosing party is given prompt notice and an opportunity to seek a protective order.

Applicant Certifications and Representations

Applicant certifies that all information, records, and documentation provided in support of this recertification application are true, complete, and accurate to the best of Applicant's knowledge. Applicant understands that false statements or material omissions may result in denial, suspension, or revocation of certification and may expose Applicant to other remedies.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict-of-law principles.

Entire Agreement

This Application, together with any attachments, fee schedules, and written policies expressly incorporated herein, constitutes the entire agreement between Applicant and Certifying Authority with respect to the subject matter hereof and supersedes all prior understandings, representations, and agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
