Parties

Recitals

WHEREAS, Certifying Party represents that it was originally certified under the program identified as Certification Number with an original effective date of ; and

WHEREAS, Certifying Party seeks recertification and Recipient has authority to grant or deny recertification in accordance with applicable standards and this Agreement; and

WHEREAS, the parties desire to set forth the scope, payment terms, confidentiality obligations, and recertification attestations in a binding form of agreement.

Scope of Work

Certifying Party shall submit the documentation, attestations, and any required testing or inspections necessary for recertification. Recipient shall review submitted materials pursuant to its published standards and shall notify Certifying Party of any required corrective actions.

Payment Terms

Certifying Party shall pay Recipient the fees required for recertification as set forth below. Recipient will invoice Certifying Party and payment is due in accordance with the schedule provided. Failure to pay within the time prescribed constitutes a material breach and may result in suspension of recertification processing.

Term and Termination

This Agreement commences on the Effective Date and, unless earlier terminated in accordance with this section, continues until the End Date.

Either party may terminate this Agreement upon written notice if the other party materially breaches any obligation and fails to cure within the notice period set forth above. Termination shall not relieve either party of obligations incurred prior to termination.

Confidentiality

Each party acknowledges that during the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information that is designated in writing as confidential or that reasonably should be understood to be confidential given the nature of the information.

Obligations: Each party shall (i) use Confidential Information only as necessary to perform its obligations under this Agreement; (ii) protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; and (iii) not disclose Confidential Information to third parties except as permitted herein.
