What a Chairman Appointment Agreement Is

A Chairman Appointment Agreement is a formal written contract documenting the board of directors’ selection and terms of service for an individual appointed to serve as chairman. The agreement typically defines the chairman’s duties, decision-making authority, term length, compensation or reimbursement, resignation and removal procedures, and any confidentiality or conflicts-of-interest provisions. It supplements board resolutions and corporate minutes, serves as evidence of authorized authority for banks and third parties, and can be executed on paper or electronically consistent with federal and state e‑signature laws such as ESIGN and UETA.

Why formalizing the appointment matters

A written appointment clarifies governance roles, reduces ambiguity about authority, protects the organization from unauthorized actions, and creates a clear record for compliance and internal controls.

Why formalizing the appointment matters

Who typically prepares and signs this agreement

Organizations and individuals that commonly prepare or execute a Chairman Appointment Agreement include in-house counsel, corporate secretaries, boards of directors, and company officers.

  • Board of directors — approves the appointment and adopts the related resolution at a duly convened meeting.
  • Corporate secretary — prepares the agreement, records the minutes, and maintains the official corporate records.
  • General counsel or outside attorney — reviews terms for compliance with bylaws, regulations, and fiduciary duties.

After signing, provide copies to corporate records, update minutes, notify banks and service providers, and retain the executed agreement according to record retention policies.
