RECITALS

WHEREAS, Client Name: is a party to the matter identified above; and

WHEREAS, Former Representative: has previously represented the Client in this matter; and

WHEREAS, New Representative: has been retained and authorized by the Client to assume responsibility for representation effective as of the Effective Date of Change specified above.

NOW, THEREFORE

In consideration of the foregoing recitals and the mutual covenants contained herein, the parties agree as follows:

1. SCOPE OF CHANGE

Beginning on the Effective Date of Change set forth above, New Representative shall assume primary responsibility for all legal representation of the Client in the matter identified above. New Representative shall have authority to act on behalf of the Client for the purpose of litigation, negotiation, settlement, and other proceedings related to the matter, subject to any express limitations stated in writing by the Client below.

2. AUTHORITY AND LIMITATIONS

New Representative is authorized to receive and review all case files, pleadings, correspondence, and discovery materials previously held by Former Representative, and to sign and file any necessary notices, substitutions, or other documents with the Court or Tribunal to effectuate the change of representation. Any limitation on authority retained by the Client must be described in the Client Instructions field below.

3. TRANSFER OF FILES AND DOCUMENTS

Former Representative shall transfer to New Representative, promptly and without unreasonable delay, all client files, original documents, exhibits, electronic records, and other materials related to the matter. Where originals cannot be transferred, true and complete copies shall be provided. The parties shall coordinate transfer logistics and timing below.

4. OUTSTANDING FEES AND COSTS

The parties acknowledge that any outstanding fees, costs, or retainers owing to Former Representative are subject to the terms of any separate fee agreement between Client and Former Representative. Nothing in this Notice waives Former Representative's rights to seek payment of fees for services rendered prior to the Effective Date of Change, subject to applicable rules of professional conduct and any written agreement between Client and Former Representative.

8. GOVERNING LAW

This Notice shall be governed by and construed in accordance with the laws of the jurisdiction in which the matter is pending, without regard to conflicts of law principles.

This Notice constitutes the entire agreement of the parties with respect to the change of representation addressed herein and supersedes all prior written or oral agreements relating to the subject matter of this Notice.

10. SEVERABILITY

If any provision of this Notice is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. AMENDMENT; WAIVER; COUNTERPARTS

This Notice may be amended only by a written instrument executed by the parties. No waiver of any provision shall be effective unless in writing signed by the party waiving compliance. This Notice may be executed in counterparts, each of which shall be deemed an original.
