CHARITABLE DONATION AGREEMENT

This Charitable Donation Agreement (Agreement) is made effective as of by and between Donor Name: ("Donor") and Donee Name: ("Donee").

WHEREAS

WHEREAS, Donor desires to make a voluntary charitable contribution to Donee for charitable, educational, philanthropic or other public purpose consistent with Donee's mission; and

WHEREAS, Donee represents that it is a bona fide charitable organization qualified to receive tax-deductible contributions under applicable law and agrees to accept and use the donation subject to the terms set forth below; and

WHEREAS, the parties wish to set forth the terms and conditions under which Donor will transfer the donation to Donee.

TERM AND TERMINATION

Term: This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party after providing written notice and a cure period of days. Upon termination, Donee shall, to the extent practicable and consistent with any donor-imposed restrictions, return any unexpended portion of restricted funds or reallocate them in accordance with applicable law and the terms set forth herein.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party to the other in connection with this Agreement that is designated as confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure. Confidential Information does not include information that: (a) is or becomes generally available to the public other than through a breach of this Agreement; (b) was lawfully in the receiving party's possession prior to disclosure; (c) is obtained from a third party without breach of an obligation of confidentiality; or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, shall not disclose it to any third party except to its employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations, and shall use Confidential Information only to perform its obligations under this Agreement. Confidentiality obligations shall survive termination of this Agreement for years.

TAX RECEIPT; REPRESENTATIONS

Donee shall provide Donor with written acknowledgment of the donation suitable for tax purposes in accordance with applicable law. Donor acknowledges that Donee has made no representation as to the tax deductibility of the donation; Donor is solely responsible for determining and claiming any tax benefits.

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder, and that the execution, delivery and performance of this Agreement have been duly authorized.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's gross negligence or willful misconduct in connection with this Agreement. Except in cases of fraud, willful misconduct or gross negligence, neither party shall be liable for consequential, incidental, special or punitive damages.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by both parties.
