What a Charity Land Donation Agreement Is

A Charity Land Donation Agreement is a written contract transferring real property ownership from a donor to a charitable organization. It documents the parties, property description, any retained rights, and the intended charitable purpose. The agreement complements the deed and establishes consideration, tax reporting responsibilities, and any conditions or reversionary clauses. Properly drafted, it supports title transfer, recording, and an appraisal-based charitable deduction when applicable. Use this agreement with recorded deeds, title company review, and, where required, notary or witness authentication to ensure enforceability and clarity for both donor and charity.

Why this agreement matters for donors and charities

The agreement creates a clear record of the donation, protects parties from later disputes, and documents terms needed for tax deductions and title transfer. It ensures both parties understand conditions, responsibilities for recording fees, and any ongoing obligations such as easements or reserved rights.

Why this agreement matters for donors and charities

Who typically completes a Charity Land Donation Agreement

The agreement is used by individual donors, corporate grantors, and nonprofit legal or real estate staff when property is gifted for charitable purposes.

  • Individual donors transferring personal property to a recognized 501(c)(3) charity.
  • Corporations or LLCs conveying surplus land or conservation easements.
  • Charitable organizations accepting property and managing recording and title clearance.

Each party should confirm organizational authority, tax reporting needs, and recording practices before final execution to avoid delays.

Authorized signers and their roles

Donor — Individual

The donor signs to convey title and affirm intent. The donor should match the name on government ID and provide personal or entity tax identification for deduction documentation; an attorney may review complex retained interests.

Charity — Authorized Officer

An officer or board designee signs for the nonprofit, often after board approval or a corporate resolution. The signer confirms acceptance, acknowledges title review, and agrees to any conditions or post‑closing obligations.

Core data elements required in the agreement

Donor Name: Full legal name
Charity Name: Legal entity name
Property Description: Parcel ID or legal description
Deed Type: Quitclaim or warranty
Effective Date: MM/DD/YYYY
Consideration: Gift or nominal amount

Key legal risks and potential penalties

Tax deduction risk: Appraisal rules apply
Incorrect reporting: IRC §6721 penalties possible
Title defects: Clouds on title create liability
Notary omissions: May invalidate recording
Unauthorized signer: Breach of corporate authority
I-9/Employment risk: Not applicable to property transfer

Common pitfalls when preparing the agreement

  • Using an informal property description rather than the full legal description causes recording rejections and title issues.
  • Failing to confirm charity acceptance or board authorization leads to rescinded gifts or dispute over ownership.
  • Skipping a qualified appraisal for high-value donations jeopardizes the donor's tax deduction under IRS rules.
  • Omitting required notary acknowledgments or witness signatures delays recording and may render the deed ineffective.

Essential sections to include in a professional agreement

A complete Charity Land Donation Agreement combines clear descriptions, assurances, and procedural steps so both donor and recipient can complete transfer and maintain records.

Parties

Identify donor and charitable organization with full legal names, mailing addresses, and tax identification where relevant for deduction processing and correspondence.

Property

Provide the full legal description, parcel number, street address if applicable, and attach a recorded plat or survey as an exhibit for precise identification.

Gift Terms

State that transfer is a charitable gift, describe any reserved rights or retained life estate, and specify whether consideration is nominal or nonmonetary.

Title and Closing

Allocate responsibilities for title review, cure of defects, payment of recording fees, and coordination of deed preparation and delivery.

Tax and Appraisal

Note donor responsibility for obtaining qualified appraisal when required and indicate which party will receive and retain appraisal and Form 8283 documentation.

Representations

Include standard warranties about ownership, authority to convey, absence of encumbrances, and any environmental disclosures required by state law.
