CHARTER SERVICES CONTRACT

This Charter Services Contract ("Contract") is entered into as of Effective Date: by and between Owner/Operator Name: ("Owner") and Charterer Name: ("Charterer"). Owner and Charterer are each a "Party" and together the "Parties."

RECITALS

WHEREAS, Owner owns and operates the vessel or equipment more particularly described as Vessel Name: , Registration/IMO or ID: (the "Vessel");

WHEREAS, Charterer desires to charter the Vessel for the purpose of providing charter services and Owner is willing to charter the Vessel to Charterer on the terms and conditions set forth in this Contract;

WHEREAS, the Parties intend to set forth their respective rights, duties and obligations regarding the use, operation and compensation for the Vessel during the Charter Term.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Contract, the following terms shall have the following meanings: "Charter Period" means the period commencing on Commencement Date: and terminating on Termination Date: (the "Charter Term"). "Delivery Location" means the port or location where the Vessel is delivered at the commencement of the Charter: .

2. SCOPE OF SERVICES

Owner shall place the Vessel at Charterer's disposal during the Charter Term for the performance of charter services described in Schedule of Services:

Charterer shall be responsible for the day-to-day operational costs expressly allocated to Charterer in this Contract and shall operate the Vessel consistent with applicable law and prudent seamanship.

3. CHARTER TERM AND DELIVERY

Delivery of the Vessel shall be made at Delivery Location specified above on Delivery Date: at Delivery Time (local): . The Charter Term shall be as set forth in Section 1 unless earlier terminated in accordance with this Contract.

4. COMPENSATION AND PAYMENT

Charterer shall also furnish a Security Deposit in the amount of to secure performance under this Contract. Owner may apply the Security Deposit to cure Charterer's breach, with any remaining balance refunded within thirty (30) days after expiration or earlier lawful termination.

5. TERMINATION AND CANCELLATION

Either Party may terminate this Contract for material breach by the other Party if such breach is not cured within Cure Period (days): days after written notice. Charterer may cancel with prior Notice Period (days): days, subject to payment of cancellation fees as set forth in Payment Terms.

6. REPRESENTATIONS, WARRANTIES AND COVENANTS

Each Party represents and warrants that it has full power and authority to enter into this Contract and to perform its obligations hereunder. Owner represents that, to Owner's knowledge, the Vessel is seaworthy and maintained in compliance with applicable regulatory requirements at the time of delivery. Charterer covenants to operate the Vessel in a commercially reasonable manner and in compliance with all applicable laws, regulations and safety standards.

7. INSURANCE AND INDEMNITY

Owner shall maintain hull and machinery insurance and protection and indemnity insurance with limits customary for vessels of similar size and trade. Charterer shall maintain liability and any additional insurances required for Charterer's operations and shall indemnify, defend and hold harmless Owner from and against all claims, damages and liabilities arising from Charterer's negligence or willful misconduct, except to the extent caused by Owner's gross negligence or willful misconduct.

8. LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or breach of fundamental obligations such as payment or loss of life, each Party's aggregate liability under this Contract shall not exceed the total Charter Fee paid or payable to Owner under this Contract. Neither Party shall be liable for indirect, incidental, consequential or punitive damages.

9. SAFETY, CREW AND COMPLIANCE

Owner shall provide crew as specified in Crew and Manning: . Charterer shall not interfere with the Master's authority to ensure safe navigation and compliance. Charterer shall ensure that all passengers, cargo and activities comply with applicable laws and regulations.

10. CONFIDENTIALITY

Each Party agrees to keep confidential and not disclose to third parties non-public commercial or technical information received from the other Party in connection with this Contract, except as required by law or to enforce the terms of this Contract. Confidential information does not include information that is or becomes publicly available through no fault of the receiving Party.

11. FORCE MAJEURE

Neither Party shall be liable for failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, strikes, government action, embargoes, pandemics, or severe weather (each a "Force Majeure Event"). The affected Party shall give prompt written notice to the other Party and shall use reasonable efforts to resume performance.

12. NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the Parties at their respective addresses set forth below or to such other address as a Party may designate by written notice. Notices are effective upon receipt.

13. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Contract shall be effective unless in writing and executed by both Parties. The failure of either Party to enforce any provision shall not constitute a waiver of future enforcement of that or any other provision.

14. COUNTERPARTS

This Contract may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by facsimile or electronic image shall be deemed original signatures.

15. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Contract shall be governed by and construed in accordance with the laws of Governing Jurisdiction: without regard to conflict of laws principles. This Contract constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior agreements and understandings. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. MISCELLANEOUS

If any Party is required to commence legal proceedings to enforce any provision of this Contract, the prevailing Party shall be entitled to recover reasonable attorneys' fees and costs. Headings are for convenience only and shall not affect interpretation.
