What the Chief Operating Officer Agreement Is

A Chief Operating Officer Agreement is a written employment or engagement contract that defines the COO's role, responsibilities, compensation, reporting relationships, term, confidentiality obligations, noncompete or non-solicitation provisions, and termination terms. It establishes operational authority, performance expectations, and any equity or bonus arrangements. The agreement can be tailored for full-time executives, interim COOs, or fractional/consulting COOs and typically includes dispute-resolution clauses and governing law. Properly drafted, it limits ambiguity about decision-making power and preserves the company’s intellectual property and confidential information during and after the COO’s service.

Why a Clear COO Agreement Matters

A well-drafted Chief Operating Officer Agreement aligns expectations, reduces dispute risk, and sets enforceable compensation and departure rules. It protects confidential information, clarifies reporting lines, and defines post-employment restrictions to safeguard business continuity and value.
