WHEREAS, the Church operates and controls the facilities and grounds located at the address above and is willing to permit use of designated spaces for community and religious events under terms that protect the Church's mission and property; and

WHEREAS, the Event Organizer desires to plan, coordinate and conduct the event described herein at the Church premises and represents that it has the capacity and resources to perform the services described under the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth the scope, compensation, responsibilities, and legal protections governing the planning and presentation of the event.

Scope of Work

The Event Organizer shall provide comprehensive event planning services, coordination with Church staff and volunteers, set-up and breakdown services, and any third-party vendor management necessary to conduct the event in a manner that preserves safety and the Church's property. Specific responsibilities include, at minimum, the items described below and any additional tasks mutually agreed in writing.

Either party may terminate this Agreement for material breach that remains uncured for following written notice specifying the nature of the breach. The Church may terminate immediately for safety, legal compliance, or mission-related reasons.

Insurance, Permits and Compliance

Organizer shall maintain commercial general liability insurance with limits not less than per occurrence and shall name the Church as an additional insured to the extent reasonably requested. Proof of insurance must be delivered to Church prior to the event.

Organizer is responsible for obtaining any permits, licenses or health inspections required by applicable law for the planned activities and for complying with all building and fire codes while on Church property.

Confidentiality

Each party acknowledges that it may receive confidential or proprietary information concerning the other party's operations, donors, members or programs. The recipient shall: (a) use such information only for the performance of this Agreement; (b) not disclose such information to any third party except as required by law or with the disclosing party's prior written consent; and (c) take reasonable measures to protect the confidentiality of such information commensurate with the sensitivity of the information.

Indemnification

Organizer shall indemnify, defend and hold harmless the Church, its trustees, officers, employees and volunteers from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or resulting from Organizer's negligence, willful misconduct, or breach of this Agreement, except to the extent caused by the Church's sole negligence or willful misconduct.

Cancellation Policy

Cancellation by Organizer more than prior to the event shall result in forfeiture of the deposit only. Cancellation within the stated notice period may result in additional charges to cover reasonable unrecoverable costs.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. This Agreement, including any exhibits or written addenda signed by both parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior negotiations, understandings and agreements, whether written or oral.

The undersigned represent and warrant that they are authorized to enter into this Agreement on behalf of the party identified and that they have read, understood, and agree to the terms set forth herein.
