CIGAR CLUB MEMBERSHIP AGREEMENT

Parties

This Cigar Club Membership Agreement (the Agreement) is entered into between Club Name: located at Club Address: and Member Name: .

WHEREAS

WHEREAS, the Club operates a private cigar club and offers membership privileges including access to on-site smoking lounges, cigar storage, and member events; and

WHEREAS, the Member desires to obtain membership privileges and accepts the rules, obligations, and fees set forth in this Agreement; and

WHEREAS, the parties intend for this Agreement to set forth the full terms and conditions of membership, including payment, term, confidentiality, and liability allocation.

Scope of Membership

The Club grants Member a non-transferable membership subject to the terms below. Member's permitted rights and the Club's obligations are described in this section.

Membership may include, where elected and paid for: private locker/cabinet storage, access to member-only events, complimentary tasting sessions, and limited guest privileges. All access is subject to Club rules and local law; the Club may refuse entry for cause.

Payment Terms

Member agrees to pay the fees set forth below. All fees are non-refundable except as expressly stated in this Agreement.

All payments shall be made to the Club in U.S. dollars. Member authorizes the Club to charge the payment method on file. Failure to pay when due permits the Club to suspend membership privileges, assess late fees, and pursue collection, including reasonable attorneys' fees and costs.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice delivered not less than Notice Period (days): days prior to the desired termination date. The Club may immediately terminate or suspend membership for material breach, illegal activity, violation of Club rules, or failure to pay fees.

Confidentiality

Member and Club each agree to hold confidential and not disclose proprietary business information, member lists, pricing, or other non-public information disclosed in connection with membership, except as required by law. Confidential information does not include information that becomes publicly known through no fault of the receiving party.

Waiver of Liability; Indemnification

Member acknowledges that cigar smoking and associated events involve risks to health and safety. Member assumes all risks and agrees that the Club, its owners, agents, and employees shall not be liable for personal injury, death, or property damage arising from Member's use of Club facilities, except to the extent caused by the Club's gross negligence or willful misconduct.

Member shall indemnify, defend, and hold harmless the Club from and against all claims, liabilities, damages, fines, penalties, expenses, and costs (including reasonable attorneys' fees) arising out of Member's acts or omissions, breach of this Agreement, or violation of law.

Rules, Compliance and Prohibitions

Member agrees to comply with all Club rules as may be posted or distributed, and with all applicable federal, state, and local laws relating to tobacco products. Member shall not resell, distribute, or commercially exploit cigars obtained through Club channels. Violation of rules may result in suspension or termination of membership.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved by binding arbitration conducted in the county where the Club's principal place of business is located, unless the parties agree otherwise in writing.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior agreements and understandings, written or oral. Any amendment or modification of this Agreement must be in writing and signed by both parties.

Acknowledgments and Consents

By signing below, Member certifies that the information provided in this Agreement is true and complete, that Member is of legal age to use Club facilities, and that Member accepts and will be bound by all terms, rules, and policies referenced herein.

Member Consent to Communications: Member consents to receive communications and billing notices from the Club by email or telephone at the contact information provided above.

Member Acknowledgement of Health Risks and Voluntary Assumption: Member acknowledges health risks associated with tobacco and voluntarily assumes such risks.
