CITIZEN SERVICES APPLICATION AND AGREEMENT

This Citizen Services Application and Agreement (the Agreement) is entered into as of by and between (Service Provider) and the Applicant identified below (Applicant). Collectively, the Service Provider and Applicant are referred to as the Parties.

WHEREAS

WHEREAS, Service Provider maintains programs and systems for the delivery of municipal citizen services and applications, and provides operational, technical and administrative support in connection with such services; and

WHEREAS, Applicant seeks to request and obtain one or more citizen services through the Citizen Services Application process and agrees to the terms governing the provision of such services by Service Provider; and

WHEREAS, the Parties desire to set forth the scope, payment terms, confidentiality obligations, and other material terms governing provision of the requested services.

The Service Provider shall perform the services described below in a professional manner consistent with applicable municipal standards. The scope set forth here is binding and may be amended only by written agreement of the Parties.

PAYMENT TERMS

Applicant agrees to pay the fees set forth below to the Service Provider in full conformity with the schedule and conditions specified. All amounts are payable in lawful currency and are non-refundable except as expressly provided in this Agreement.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and continue until the End Date unless earlier terminated in accordance with this Section.

Either Party may terminate this Agreement for material breach by the other Party if such breach remains uncured for the notice period specified above following written notice. Termination shall not relieve Applicant of the obligation to pay for services rendered and costs incurred prior to the effective date of termination.

CONFIDENTIALITY

Each Party acknowledges that in the performance of this Agreement it may receive Confidential Information of the other Party. "Confidential Information" means non-public information marked or otherwise identified as confidential or which, by its nature, should reasonably be understood to be confidential. The receiving Party shall: (a) use Confidential Information solely for the purposes of performing obligations under this Agreement; (b) protect Confidential Information with the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; and (c) not disclose Confidential Information to any third party except as required by law or with the prior written consent of the disclosing Party. The confidentiality obligations shall survive termination of this Agreement for a period of three (3) years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including all attachments, schedules, and the information provided in this Application, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any modification to this Agreement must be in writing and signed by authorized representatives of both Parties.

CERTIFICATION AND CONSENT

By submitting this Application and signing below, Applicant certifies that all information provided in this Application is true, complete and accurate to the best of Applicant's knowledge. Applicant consents to the Service Provider performing required verifications and to communicate with the Applicant regarding service delivery and billing.

Applicant acknowledges that false statements, omissions, or misrepresentations in this Application may result in denial of services, termination of services, or other remedies available to the Service Provider under law or equity.
