Recitals

Scope of Work

Provider will perform a Civil Means Assessment and prepare a written Civil Means Form and supporting schedules. Services shall include, at a minimum: gathering of Client financial documents; preparation of income, asset and liability schedules; calculation of monthly and annual income and expenses; preparation of a certification page suitable for filing with courts or administrative agencies; and reasonable revisions requested by Client within the scope described herein.

Payment Terms

Client shall pay Provider for services as set forth below. Fees are exclusive of any third-party filing fees or costs unless expressly included.

In the event of non-payment, Provider may suspend work after providing written notice and shall be entitled to recover collection costs, including reasonable attorney fees, to the extent permitted by law.

Term and Termination

This Agreement commences on Start Date: and terminates on End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured thirty (30) days after written notice. Provider may also terminate immediately for non-payment. Termination shall not relieve Client of obligations to pay for work performed and costs incurred through the effective date of termination.

Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Civil Means Assessment ("Confidential Information"). Confidential Information shall not include information that is or becomes publicly available through no fault of the receiving party, or is required to be disclosed by law or court order (provided the receiving party gives prompt written notice and cooperates with reasonable protective measures).

Representations; Certifications

Client represents and warrants that all financial information and documents provided to Provider are true, complete and accurate to the best of Client's knowledge. Client acknowledges that Provider prepares the Civil Means Form based on information supplied by Client and that Provider does not guarantee any particular determination by a court or administrative entity.

Client acknowledges certification of truthfulness and understands that willful submission of false information may subject Client to penalties provided by law.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws rules. Any dispute arising out of or relating to this Agreement shall be resolved by mediation if the parties mutually agree, and otherwise by the courts of that forum.

Entire Agreement; Amendments

This Agreement (including any exhibits or schedules referenced herein) constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral. Any modification or amendment must be in writing and signed by both parties.
