What the Class B Award Document Is and When It Applies

The Class B Award Document is a formal written instrument used to record the grant of a Class B award, including recipient identity, award terms, effective date, and any conditions or vesting schedules. Typical uses include internal equity grants, scholarship disbursements, discretionary awards from boards, or externally administered awards where a written record is required. The document creates a contractual record that defines rights and obligations between the issuer and recipient, and it often accompanies supporting schedules, tax withholding instructions, and signature blocks for authorized signatories and witnesses.

Why a Clear Class B Award Document Matters

A complete Class B Award Document reduces disputes, clarifies vesting and conditions, preserves tax and audit evidence, and documents authority to award. It also creates an auditable record for corporate governance, compliance reviews, and regulatory obligations.

  • Recipients and Authorized Signers the awardee and an authorized officer who must sign to accept or issue the award.
