CLEAN-OUT SERVICE AGREEMENT

This Clean-Out Service Agreement (the Agreement) is entered into as of Effective Date: by and between Service Provider: and Client: .

WHEREAS

WHEREAS, Service Provider is duly engaged and experienced in the removal, disposal, recycling and lawful disposal of personal property, debris, and other materials resulting from residential, commercial or estate clean-outs; and

WHEREAS, Client desires to retain Service Provider to perform clean-out services at the Property described below and Service Provider agrees to provide such services under the terms and conditions set forth herein.

WHEREAS, the parties intend that this Agreement set forth the full terms of their arrangement with respect to the clean-out services.

PROPERTY & CONTACT INFORMATION

SCOPE OF WORK

Service Provider shall perform the following services at the Property: removal, hauling and lawful disposal or recycling of all personal property, debris, refuse, fixtures and other items as specifically identified below, including broom-sweeping and reasonable site cleanup upon completion. The parties acknowledge that Services do not include repairs to the Property unless expressly stated below.

PAYMENT TERMS

Either party may terminate this Agreement for convenience by providing written notice to the other party at least days prior to the intended termination date. If terminated for convenience by Client after work has commenced, Client shall pay Service Provider for work completed, materials purchased, and reasonable demobilization costs.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party shall hold in confidence all non-public information disclosed by the other party relating to pricing, property details, proprietary methods, and personal information (Confidential Information). Confidential Information shall not include information that is: (a) in the public domain other than by breach of this Agreement; (b) lawfully obtained from a third party without confidentiality obligation; or (c) required to be disclosed by law, regulation or court order, provided the disclosing party gives prompt notice to the other and cooperates in any attempt to limit disclosure.

HAZARDOUS MATERIALS & DISPOSAL

Client represents and warrants that Client has disclosed the presence of hazardous materials at the Property. If hazardous materials are discovered that were not disclosed, Service Provider may stop work and quote additional remediation costs or safely remove items at Client's expense. Describe known hazardous items below:

Service Provider shall comply with applicable laws for disposal and shall provide receipts or manifests upon request for materials disposed of at licensed facilities.

INSURANCE, INDEMNITY AND LIABILITY

Service Provider shall maintain commercial general liability insurance and automobile liability insurance in amounts customary for the industry. Service Provider shall provide proof of insurance to Client upon request. Neither party shall be liable to the other for incidental, consequential, punitive, or special damages except in cases of willful misconduct or gross negligence.

Client shall defend, indemnify and hold harmless Service Provider, its affiliates, employees and agents from and against any claims, losses, damages or liabilities (including reasonable attorneys' fees) arising from Client's breach of this Agreement, Client-supplied items, or Client's failure to disclose hazardous conditions, except to the extent caused by Service Provider's gross negligence or willful misconduct.

ACCESS, PERMITS AND COMPLIANCE

Client shall provide reasonable access to the Property, utilities as needed, and any keys or codes required for Service Provider to perform the Services. Client shall obtain all required permits, licenses, and approvals unless otherwise agreed in writing.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Venue for any dispute arising out of this Agreement shall be laid exclusively in the state or federal courts located in the county where the Property is located, to the extent permitted by law.

ENTIRE AGREEMENT

This Agreement, together with any written attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral and written agreements, understandings and negotiations. No amendment or modification shall be effective unless in writing signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or successor in interest.
