CLEANING SERVICE AGREEMENT

RECITALS

WHEREAS, Client desires to retain Service Provider to perform cleaning and related services at locations specified by Client under the terms and conditions set forth in this Agreement; and

WHEREAS, Service Provider represents that it is duly qualified, equipped and experienced to perform such services and will perform them as an independent contractor in a professional manner consistent with industry standards; and

WHEREAS, the parties wish to set forth their respective rights and obligations in writing.

SCOPE OF WORK

Service Provider shall perform the cleaning services described below at the locations and on the schedule agreed by the parties. Services shall include the tasks and frequencies set forth in the scope description and any attached work orders.

PAYMENT TERMS

Client shall pay Service Provider in accordance with the fee structure set forth below. All fees are payable in U.S. dollars unless otherwise agreed in writing. Service Provider shall invoice Client in accordance with the schedule selected by the parties.

TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period specified above after receiving written notice. Termination shall be without prejudice to any accrued rights or liabilities.

CONFIDENTIALITY

During the term of this Agreement and for a period of two (2) years following termination, each party shall hold in confidence and shall not use or disclose Confidential Information of the other party except as required to perform its obligations under this Agreement or as required by law. "Confidential Information" includes, without limitation, business operations, security arrangements, access codes, client lists, and personally identifying information obtained in connection with performance.

INSURANCE AND LIABILITY

Service Provider shall maintain general liability insurance in amounts reasonable for the services provided and shall furnish certificates of insurance to Client upon request. Service Provider is responsible for loss or damage caused by its negligence or willful misconduct. Except for willful misconduct or gross negligence, neither party shall be liable for incidental or consequential damages.

Unless otherwise agreed, Service Provider shall supply labor, cleaning equipment, and routine cleaning materials. Specialized supplies or equipment requested by Client may be provided by Client at Client's expense. Service Provider must obtain Client authorization prior to incurring any reimbursable expense.

COMPLIANCE WITH LAWS

Service Provider shall comply with all applicable federal, state and local laws, regulations and licensing requirements in performing services under this Agreement, including wage and hour laws, worker classification and safety requirements.

NOTICES

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Any dispute arising out of or related to this Agreement shall be resolved in the courts of that State, unless the parties agree otherwise in writing.

ENTIRE AGREEMENT

This Agreement, including any attachments or work orders executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings. Any amendment must be in writing and signed by both parties.
