Recitals

WHEREAS, the Service Provider, , is engaged in the business of providing commercial and residential cleaning and janitorial services in accordance with industry standards; and

WHEREAS, the Client, , has requested a written quote for specified cleaning services described below and agrees to engage the Service Provider under the terms set forth herein.

Scope of Work

The Service Provider will perform the cleaning services described below at the location identified above. Services shall conform to relevant health and safety standards and shall include the tasks listed and any ancillary work reasonably necessary for completion.

Itemized Services and Pricing

Describe each discrete service, its unit, quantity, unit price and line total. Prices are exclusive of taxes unless otherwise stated.

Payment Terms

Payment is due in accordance with the schedule below. Any undisputed invoiced amount not paid within the stated timeframe will accrue interest as specified.

Term and Termination

This Quote and any resulting Service Agreement shall commence on the Start Date and, unless earlier terminated in accordance with this section, shall continue until the End Date or completion of the services.

Either party may terminate for material breach if the breach is not cured within the notice period. Termination shall not relieve the Client of payment for services performed or expenses incurred prior to termination.

Confidentiality

Each party shall maintain in confidence all nonpublic information and materials provided by the other party and designated as confidential, or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. Confidential information shall not be disclosed except to fulfil the obligations of the services or as required by law. This obligation survives termination for a period of two (2) years.

Changes and Additional Work

Any changes to the Scope of Work shall be executed only by written change order signed by both parties. Additional work requested by the Client that is outside the Scope of Work will be billed at the rates agreed in a change order and is payable in accordance with the Payment Terms.

Limitation of Liability

Except for liability arising from gross negligence or willful misconduct, the Service Provider's aggregate liability for any claim arising out of or relating to this Quote or the services shall not exceed the total amounts paid by the Client to the Service Provider under the applicable Statement of Work giving rise to the claim.

Governing Law

This Quote and any resulting agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles.

Entire Agreement

This Quote, together with any documents explicitly incorporated herein by reference and any signed change orders, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or representations, oral or written.
