CLEANING SERVICES AGREEMENT

Recitals

WHEREAS, Service Provider has the experience, personnel, equipment and licenses necessary to provide commercial and/or residential cleaning services in accordance with industry standards; and

WHEREAS, Client desires to retain Service Provider to perform cleaning services at the Client premises identified above, and Service Provider agrees to provide such services under the terms and conditions set forth in this Agreement.

Either party may terminate this Agreement for cause if the other party materially breaches any obligation and fails to cure within days after written notice. Service Provider may suspend services if Client fails to pay amounts due after days' notice.

Confidentiality

Each party shall hold in strict confidence all proprietary and non-public information disclosed by the other party in connection with this Agreement, whether oral, written or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that (i) is or becomes publicly known through no breach of this Agreement; (ii) is received from a third party without breach of any obligation of confidentiality; or (iii) is independently developed without use of the disclosing party's Confidential Information.

The receiving party shall use Confidential Information solely for performance of this Agreement, restrict disclosure to employees and contractors who need to know, and implement reasonable safeguards to prevent unauthorized disclosure.

Insurance and Indemnification

Service Provider shall maintain commercial general liability insurance with limits sufficient to cover claims arising from performance of services under this Agreement. Upon request, Service Provider will provide certificates of insurance. Service Provider agrees to indemnify and hold Client harmless from claims, damages and liabilities arising from Service Provider's negligent acts or omissions in performing the services, except to the extent caused by Client's negligence.

Performance Standards; Supplies and Equipment

If hazardous materials or special handling are required, Client will notify Service Provider in writing and shall be responsible for additional charges and any required permits.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties shall first attempt to resolve disputes through good faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the commercial arbitration rules selected by the parties at the time of dispute.

Entire Agreement; Amendments

This Agreement, including any exhibits and attached schedules, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior statements and negotiations. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above, or such other address as a party may designate in writing, by hand delivery, certified mail or other commercially reasonable means.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to a successor entity in connection with a merger or sale of substantially all assets.
