CLEANING SERVICES AGREEMENT

This Cleaning Services Agreement (the "Agreement") is entered into as of by and between ("Client") and ("Service Provider").

RECITALS

WHEREAS, Service Provider is engaged in the business of providing commercial and residential cleaning services and possesses the personnel, equipment, and expertise necessary to perform such services;

WHEREAS, Client desires to retain Service Provider to perform cleaning services at the location(s) and under the terms set forth in this Agreement, and Service Provider agrees to provide such services in accordance with the terms and conditions set forth below;

WHEREAS, the parties desire to set forth their entire agreement in writing to avoid misunderstandings.

SERVICE LOCATION AND CONTACT

SCOPE OF WORK

Service Provider shall perform cleaning services described below at the Service Address in a professional manner consistent with industry standards. Specific tasks, frequency, and any exclusions should be described in detail.

PAYMENT TERMS

Client shall pay Service Provider in accordance with the following schedule and rates.

One-time Weekly Bi-weekly Monthly

Payment is due in full according to the invoice terms. Service Provider may suspend services for accounts more than the number of days specified above in Invoice Due after providing written notice to Client and an opportunity to cure for a period of seven (7) days.

TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered no less than days prior to the intended termination date. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within fourteen (14) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

During the term of this Agreement and for a period of two (2) years thereafter, each party shall maintain in confidence and not disclose to any third party any non-public business information, trade secrets, customer information, pricing, or other proprietary information of the other party disclosed in connection with this Agreement ("Confidential Information"). Confidential Information does not include information that is publicly known through no fault of the receiving party, independently developed by the receiving party without use of the disclosing party's Confidential Information, or lawfully obtained from a third party without breach of any obligation of confidentiality. The receiving party shall use Confidential Information only to perform its obligations under this Agreement and shall take reasonable measures to protect such information from unauthorized disclosure.

INSURANCE AND INDEMNIFICATION

Service Provider shall maintain, at its expense, general liability insurance and workers' compensation insurance as required by law and appropriate for the performance of the Services. Service Provider agrees to indemnify, defend, and hold harmless Client from and against any claims, losses, damages, liabilities, judgments, fines, and expenses (including reasonable attorneys' fees) arising out of Service Provider's negligence, willful misconduct, or breach of this Agreement, except to the extent caused by the negligence or willful misconduct of Client.

LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES, AND THE AGGREGATE LIABILITY OF EITHER PARTY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE BY CLIENT TO SERVICE PROVIDER UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

SEVERABILITY; ASSIGNMENT

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliated entity or in connection with a sale of substantially all of its assets.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate in writing. Notice is effective upon personal delivery, confirmed delivery by courier, or three (3) days after deposit in the U.S. mail, postage prepaid.
