CLEARANCE AUTHORIZATION DOCUMENT

This Clearance Authorization Document (the "Authorization") is entered into by and between Client Name: and Authorized Agent Name: . The parties agree that the Agent is authorized to obtain clearances, submit and sign required documentation, and take such actions as set forth below on behalf of the Client.

WHEREAS

WHEREAS, Client requires the procurement of clearances, permits, approvals, or releases necessary for the movement, release, inspection, or lawful handling of certain goods, materials, records, personnel access, or property described as: (collectively, the "Items");

WHEREAS, Agent represents that it has the experience, authorization, and capacity to perform clearance services and to act as Client's authorized representative for the purposes set forth in this Authorization; and

WHEREAS, the parties wish to define the scope, payment, term, and conditions under which the Agent will act on behalf of the Client.

SCOPE OF WORK

Services shall include, without limitation, preparing and submitting all applications and documentation, paying applicable fees on behalf of the Client when authorized in writing, arranging inspections, coordinating with relevant authorities, attending meetings, receiving clearances and certificates, and executing instruments necessary to effect clearance for the Items.

PAYMENT TERMS

Unless otherwise agreed in writing, Client shall pay all invoiced amounts within days of invoice date. In the event of a missed payment, amounts past due shall incur a late fee of on the outstanding balance, calculated monthly and compounded.

TERM AND TERMINATION

This Authorization commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Authorization for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Termination shall not relieve Client of its obligation to pay for services performed and costs incurred by Agent prior to termination.

CONFIDENTIALITY

For the purposes of this Authorization, "Confidential Information" means non-public business, technical, financial, personal data, or other proprietary information disclosed by one party to the other in connection with the performance of clearance services. Agent shall: (a) maintain the confidentiality of Confidential Information using a standard of care no less protective than that used with Agent's own similar information; (b) use Confidential Information solely to perform the obligations under this Authorization; and (c) not disclose Confidential Information to any third party except as required to perform clearance services or as required by law, provided Agent gives prompt written notice to Client when legally permitted.

Upon request or upon termination, Agent shall return or destroy all Confidential Information belonging to Client and certify in writing that such return or destruction has been completed, except to the extent that retention is required by law or for archival record-keeping subject to confidentiality obligations.

INDEMNIFICATION

Client agrees to indemnify, defend and hold harmless Agent, its officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to Client's breach of this Authorization, Client's representations, or the Items, except to the extent caused by Agent's gross negligence or willful misconduct.

NOTICES

GOVERNING LAW

This Authorization shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that State for resolution of disputes arising under this Authorization.

ENTIRE AGREEMENT

This Authorization, together with any schedules or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment or waiver shall be effective unless in writing and signed by both parties.

ADDITIONAL PROVISIONS

Agent is authorized to execute documents, receipts, acknowledgments, and to accept or endorse checks, certificates, releases or similar instruments when reasonably necessary to procure clearances and to complete the services described herein. This authorization is limited to actions reasonably necessary to obtain the specified clearances for the Items unless otherwise expressly agreed in writing.
