WHEREAS, Provider introduced to Client the individual or entity identified as the matched party for potential engagement or transaction (Match Subject: ) on ; and

WHEREAS, Client has evaluated the Match Subject and wishes to accept and proceed with the engagement contemplated herein subject to the payment and other terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, the parties agree as follows.

Invoicing and Due Date: Provider shall invoice Client in accordance with the payment schedule above. Payment is due within days of invoice receipt.

Late Payment: Late payments shall accrue interest at % per month or the maximum rate permitted by law, whichever is lower, plus recovery of reasonable collection costs and attorneys' fees.

Term and Termination

Effective Date: This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Termination for Convenience: Either party may terminate this Agreement upon delivering written notice to the other party at least days prior to the effective termination date. Termination shall not relieve Client of liability for fees earned or services performed prior to termination.

Termination for Cause: Either party may terminate immediately for material breach if the breaching party fails to cure such breach within thirty (30) days after written notice specifying the breach.

Confidentiality

Each party (Recipient) shall keep confidential and shall not use or disclose any non-public information disclosed by the other party (Discloser) that is designated confidential or that, given the nature of the information or the circumstances of disclosure, reasonably should be understood to be confidential ("Confidential Information"). Confidential Information excludes information that is: (a) publicly known other than by breach of this Agreement; (b) rightfully received from a third party without restriction; (c) independently developed by Recipient without use of Discloser's Confidential Information; or (d) required to be disclosed by law or valid governmental order, provided Recipient gives Discloser prompt written notice and cooperates to seek protective measures.

The obligations in this Section survive termination of this Agreement for a period of years. Each party acknowledges that monetary damages may be inadequate and that the other party may seek injunctive relief to prevent unauthorized disclosure.

Governing Law; Entire Agreement

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Entire Agreement: This Agreement, together with any exhibits or documents incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any amendment must be in writing and signed by both parties.
