RECITALS (WHEREAS)

WHEREAS, Client Name: (the "Client") desires to engage the services of Service Provider Name: (the "Provider") for certain professional services; and

WHEREAS, the Provider represents that it has the experience, personnel and capability to perform the services described in the Scope of Work below on the terms set forth in this acknowledgement and agreement; and

WHEREAS, the parties intend that this Client Acknowledgement Form memorialize the scope, payment terms, confidentiality obligations and other material commercial terms applicable to their relationship.

Scope of Work

The Provider shall perform the services described below (the "Services"). The description below constitutes the agreed scope and shall control over any conflicting prior communications.

Payment Terms

The Client shall pay the Provider for the Services in accordance with the terms below. All amounts are stated in U.S. dollars unless otherwise indicated.

Unless otherwise specified in writing, invoices are due within the payment schedule above. The Client shall also reimburse reasonable out-of-pocket expenses pre-approved in writing. Late payments shall accrue interest at the rate stated above and the Provider may suspend performance for delinquent accounts following five (5) days' written notice.

Term and Termination

This acknowledgement and agreement shall commence on the Effective Date and continue until the End Date unless earlier terminated in accordance with this section.

Either party may terminate this agreement for material breach by the other party if such breach remains uncured thirty (30) days after written notice specifying the breach. Termination shall not relieve Client of obligations to pay for Services rendered and expenses incurred through the effective date of termination.

Confidentiality

Each party may disclose Confidential Information to the other. "Confidential Information" means non-public information disclosed in connection with this agreement that is designated confidential or that a reasonable person would understand to be confidential. Each receiving party shall (a) hold Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information (but no less than reasonable care); (b) use Confidential Information only to perform its obligations under this agreement; and (c) not disclose Confidential Information to third parties except to its employees, contractors or advisors on a need-to-know basis who are bound by confidentiality obligations at least as protective as those herein. Confidential Information does not include information which (i) is or becomes generally available without breach, (ii) was rightfully known prior to disclosure, or (iii) is independently developed without reference to Confidential Information.

Representations; Acknowledgement

The Client acknowledges that it has read and understands the Scope of Work and Payment Terms set forth above and that the individual executing this form on behalf of the Client is authorized to bind the Client. The Client represents that it will cooperate reasonably with the Provider and provide access to information and personnel as required to permit timely performance.

Governing Law; Entire Agreement

This Client Acknowledgement Form shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law rules. Any dispute arising out of or relating to this agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in that state.

This document, together with any referenced exhibits or schedules signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and understandings, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by both parties.

Additional Provisions

If any provision of this agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties agree that monetary damages may be an inadequate remedy for breach of confidentiality and the non-breaching party may seek injunctive relief in addition to any other remedies available.
