CONFIDENTIALITY

The receiving party shall (a) use Confidential Information solely for performance under this Agreement, (b) restrict disclosure to employees and contractors who have a need to know and are bound by confidentiality obligations at least as protective as those herein, and (c) take reasonable measures to protect such information from unauthorized disclosure. Confidential Information shall not include information that is (i) publicly known through no breach of this Agreement, (ii) rightfully received from a third party without restriction, or (iii) independently developed without use of the disclosing party's Confidential Information.

GOVERNING LAW

This Agreement will be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in the selected jurisdiction for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any attached exhibits and the Scope of Work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No amendment or modification shall be effective unless made in writing and signed by authorized representatives of both parties.

Each party represents and warrants that it has the full right, power and authority to enter into this Agreement and to perform its obligations hereunder, and that the person signing on its behalf is duly authorized to bind that party.
