CLIENT AFFIRMATION FORM

This Client Affirmation Form (the "Agreement") is entered into by and between the parties identified below as of the Effective Date. Client Name: Service Provider Name:

WHEREAS, Client desires to obtain certain professional services from Service Provider in connection with the project described herein; and

WHEREAS, Service Provider represents that it has the necessary experience, skills, and authority to perform the services in a timely and competent manner under the terms set forth below; and

WHEREAS, the parties wish to set forth their respective responsibilities, payment terms, confidentiality obligations and other material terms by this written affirmation.

The Service Provider will perform the services described below. The description shall include deliverables, milestones, and acceptance criteria. Any changes to the Scope of Work must be approved in writing by the parties.

PAYMENT TERMS

Client will pay Service Provider in consideration of services rendered as follows.

Late Payment: Any undisputed amount not paid within days after its due date shall accrue interest at a rate of per month, or the maximum permitted by law, whichever is less.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and shall continue until the End Date unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for material breach if such breach remains uncured for days after written notice specifying the breach.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential and not disclose to any third party any Confidential Information of the other party (the "Disclosing Party") except as necessary for performance of this Agreement. "Confidential Information" includes non-public business information, technical data, trade secrets, pricing, customer lists, and any information designated in writing as confidential. The obligations in this Section do not apply to information that is: (a) in the public domain through no fault of the Receiving Party; (b) rightfully received from a third party without breach of an obligation of confidentiality; or (c) independently developed by the Receiving Party without use of Confidential Information.

The Receiving Party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care. Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

REPRESENTATIONS, WARRANTIES, AND AFFIRMATIONS

Each party represents and warrants that it has full corporate or organizational power and authority to enter into and perform its obligations under this Agreement and that the execution and performance of this Agreement will not violate any other agreement to which it is a party. Client affirms that all information provided to Service Provider is true, complete, and accurate to the best of Client's knowledge and that Client has authority to engage Service Provider under the terms stated herein.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state identified below without regard to conflict of law principles. Governing Law State:

ENTIRE AGREEMENT

This document, together with any appendices or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether oral or written. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except to a successor in interest in connection with a merger or sale of substantially all assets, provided that such successor assumes the assigning party's obligations hereunder.
