This Client Agreement ("Agreement") is made effective as of Effective Date: , by and between Service Provider: and Client: .

Recitals

WHEREAS, Service Provider represents that it has the expertise and personnel necessary to provide the professional services described herein; and

WHEREAS, Client desires to engage Service Provider to perform such services under the terms and conditions set forth in this Agreement; and

Service Provider shall perform the services described below (the "Services"). Services will be provided in a professional and workmanlike manner consistent with industry standards.

Payment Terms

Client shall pay Service Provider the amounts and on the schedule set forth below. All amounts are payable in lawful currency and are exclusive of applicable taxes unless otherwise stated.

Late Payment: Any amount not paid within days of invoice due date shall incur a late fee of % per month, or a fixed late charge of , whichever is greater.

Client shall reimburse Service Provider for pre-approved, reasonable out-of-pocket expenses incurred in connection with the performance of the Services. Payment disputes shall not relieve Client of the obligation to pay undisputed amounts.

Term and Termination

Term: This Agreement commences on Start Date: and continues until End Date: , unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective termination date. Either party may terminate immediately for material breach that is not cured within 15 days after written notice of such breach.

On termination, Client will pay Service Provider for all Services performed and reasonable expenses incurred through the effective date of termination, including work-in-progress billed on a pro rata basis where applicable.

Confidentiality

Each party shall (a) hold in confidence and not disclose to any third party Confidential Information of the other party, and (b) use such Confidential Information only for the performance and enforcement of this Agreement. "Confidential Information" includes non-public business, technical, financial and customer information disclosed by a party, whether oral, written, or electronic.

Obligations of confidentiality do not apply to information that: (i) is or becomes generally known through no breach of this Agreement; (ii) is rightfully received from a third party without restriction and without breach of an obligation of confidentiality; (iii) is independently developed without use of the other's Confidential Information; or (iv) is required to be disclosed by law, provided the disclosing party gives prompt notice and cooperates to seek protective relief.

The confidentiality obligations set forth herein shall survive the termination or expiration of this Agreement for a period of years.

Mutual Provisions

Independent Contractor: Service Provider is an independent contractor and nothing in this Agreement shall be construed to create an employer-employee, agency, joint venture, or partnership relationship between the parties.

Indemnification: Each party agrees to indemnify, defend and hold harmless the other party from and against third-party claims arising out of the indemnifying party's gross negligence or willful misconduct in performing its obligations under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

Entire Agreement

This Agreement, including any written attachments and accepted change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by duly authorized representatives of both parties.
