Payment Terms

Client agrees to pay Service Provider the total fee of USD for the services described above.

Late payments shall incur a late fee of per month on any unpaid balance after a grace period of days. Client shall also be responsible for reasonable collection costs, including attorneys' fees, if Service Provider enforces payment rights.

Term and Termination

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the intended termination date. Either party may terminate immediately for material breach if such breach is not cured within days after written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services rendered and non-refundable deposits as set forth herein.

Confidentiality

Each party (a "Recipient") shall keep confidential any proprietary or confidential information disclosed by the other party (a "Discloser") and shall not use such information except to perform obligations under this Agreement. Confidential information excludes information which is (a) publicly known other than by Recipient's breach; (b) independently developed by Recipient without use of Discloser's confidential information; or (c) rightfully received from a third party without restriction. Recipient may disclose confidential information if required by law, provided Recipient gives Discloser prompt written notice and uses reasonable efforts to obtain confidential treatment for such disclosure.

Independent Contractor; Insurance; Indemnity

Service Provider is an independent contractor and not an employee of Client. Service Provider shall maintain appropriate liability insurance for the services provided. Client agrees to indemnify and hold Service Provider harmless from claims arising from Client's negligence or willful misconduct; Service Provider agrees to indemnify Client for claims arising from Service Provider's negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Agreement.

Entire Agreement

This Agreement, including any exhibits or riders signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. Any amendment or modification must be in writing and signed by both parties.

Additional Provisions

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. The parties acknowledge that monetary damages may be inadequate and that either party may seek equitable relief, including injunctive relief, to enforce this Agreement.
