RECITALS

WHEREAS, Client desires to engage Service Provider to perform certain professional services described in this Agreement and Service Provider represents that it has the experience, expertise and personnel necessary to provide such services; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will provide services to Client, including scope, payment terms, confidentiality obligations and the parties’ respective rights and remedies.

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

SCOPE OF WORK

Deliverables, acceptance criteria and any milestones shall be as set forth in the Scope of Work. Service Provider will perform the services in a professional and workmanlike manner consistent with industry standards. Any change in scope that affects price or schedule shall be documented in a written change order signed by both parties.

PAYMENT TERMS

Service Provider shall invoice Client in accordance with the Payment Schedule. Unless otherwise agreed in writing, Client shall pay undisputed invoices within thirty (30) days of receipt. Overdue amounts shall accrue interest at the rate specified in the Late Payment Fee field and Service Provider may suspend performance for invoices unpaid after thirty (30) days following written notice.

TERM AND TERMINATION

This Agreement commences on the Effective Date and, unless earlier terminated in accordance with this Section, shall continue until the End Date set forth below or until the completion of the services.

Either party may terminate this Agreement for convenience upon prior written notice to the other party in accordance with the notice period specified above. Either party may terminate immediately for material breach that remains uncured after ten (10) days’ written notice. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive or have access to confidential information of the other party. "Confidential Information" means non-public information identified as confidential at the time of disclosure or, if disclosed orally, identified as confidential in writing within thirty (30) days of disclosure. Each party agrees to: (a) use Confidential Information solely for the purposes of performing its obligations under this Agreement; (b) restrict disclosure to employees and agents with a need to know and who are bound by confidentiality obligations no less restrictive than those herein; and (c) exercise at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

The obligations of confidentiality do not extend to information that: (i) is or becomes generally available to the public other than by breach of this Agreement; (ii) is rightfully received from a third party without breach of any obligation of confidentiality; or (iii) is independently developed without use of Confidential Information.

INTELLECTUAL PROPERTY AND WORK PRODUCT

Unless otherwise agreed in writing, Service Provider retains ownership of its pre-existing intellectual property and general methodologies. Upon full payment of amounts due, Service Provider grants Client a non-exclusive, perpetual license to use final deliverables for Client’s internal business purposes. Any third-party materials incorporated into deliverables remain subject to their respective licenses and Client shall comply with those terms.

LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL OR PUNITIVE DAMAGES, AND TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY CLIENT TO SERVICE PROVIDER UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state identified above, without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including the Scope of Work and any signed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

Notices under this Agreement shall be delivered to the contacts listed above and shall be deemed given upon personal delivery, one business day after delivery to a nationally recognized overnight courier, or three business days after deposit in the U.S. mail, postage prepaid.
