Client Identification

WHEREAS

WHEREAS, Service Provider has the capacity and authority to provide the services described below and to authorize signatures on documents on behalf of Service Provider where expressly permitted by this Application;

WHEREAS, Client desires to engage Service Provider to provide signature services and to establish the terms, representations, and procedures under which such signatures may be applied to defined documents; and

WHEREAS, the parties desire to set forth the scope, payment, confidentiality, duration, and other material terms in a binding agreement.

Scope of Work

Service Provider shall perform the signature-related services and associated deliverables as reasonably requested by Client and described below. Client acknowledges that the grant of signature authority is limited to the specific documents and purposes set forth in this Agreement unless otherwise amended in writing.

Payment Terms

Client shall pay Service Provider in consideration for the services described in this Agreement in accordance with the following terms.

Invoices are due within days of receipt unless otherwise stated. Overdue amounts shall accrue interest at a rate of percent per month (or the maximum rate permitted by law), plus reasonable costs of collection, including attorneys' fees.

Term and Termination

This Agreement shall commence on Start Date: and shall continue in effect until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice to the other party provided at least days prior to the effective termination date. Either party may terminate immediately for cause if the other party materially breaches this Agreement and fails to cure such breach within 15 days of written notice.

Confidentiality

Each party acknowledges that it may receive confidential or proprietary information of the other party ("Confidential Information"). Each party agrees to: (a) hold Confidential Information in strict confidence for the term specified below and not disclose such information to any third party except as expressly permitted in writing; (b) use Confidential Information solely for the purposes of performing under this Agreement; and (c) take all reasonable measures to prevent unauthorized disclosure. The obligation of confidentiality shall survive termination of this Agreement for a period of years, except with respect to trade secrets which shall continue for as long as such information qualifies as a trade secret under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising under this Agreement.

Representations and Warranties

Each party represents and warrants that it has full power and authority to enter into this Agreement and that the individual signing on its behalf is duly authorized to bind the party. Service Provider represents that it will perform services in a professional and workmanlike manner consistent with industry standards.

Entire Agreement

This Agreement, including any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.

By submitting this Application and executing below, Client certifies that all information provided herein is true, complete, and accurate to the best of Client's knowledge, and that Client authorizes Service Provider to rely upon the representation and to apply signatures in accordance with this Agreement.
