General Business Agreement

WHEREAS, Client seeks to retain Service Provider to perform the services described in this Agreement and has submitted the foregoing application for the purpose of establishing the scope, payment, and other commercial terms; and

WHEREAS, Service Provider represents that it has the necessary experience, personnel, and resources to provide such services and is willing to provide services in accordance with the terms set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows.

1. Scope of Work

Service Provider shall perform the services described below and in any attached scopes, schedules, or statements of work agreed in writing by the parties. The parties may amend the scope only by a written change order signed by authorized representatives.

2. Payment Terms

Client shall pay Service Provider as follows. All fees are exclusive of taxes unless otherwise stated. Service Provider shall invoice Client in accordance with the schedule below, and Client shall pay undisputed invoices within the period specified.

Late Payment: Unpaid amounts shall accrue interest at the lesser of 1.5% per month or the maximum lawful rate. Client shall also be responsible for reasonable collection costs and attorney fees incurred by Service Provider to collect overdue amounts.

3. Term and Termination

This Agreement commences on the Start Date and continues until the End Date or until earlier terminated in accordance with this section. Either party may terminate for convenience upon prior written notice to the other as set forth below. Either party may terminate for material breach if the breaching party fails to cure within the specified cure period.

Upon termination, Client shall pay for all services performed and expenses incurred through the effective date of termination. Service Provider shall deliver all work-in-progress and cooperate to effect an orderly transition as applicable.

4. Confidentiality

"Confidential Information" means nonpublic information disclosed by one party to the other, whether in writing, orally, or by inspection, that is designated as confidential or that reasonably should be understood to be confidential. The receiving party shall (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, (b) use Confidential Information solely to perform its obligations under this Agreement, and (c) not disclose Confidential Information to third parties except as necessary to perform the Agreement or as required by law.

Confidentiality obligations survive termination for a period of three (3) years, except for trade secrets, which shall remain protected for so long as they qualify as trade secrets under applicable law. Remedies for breach include injunctive relief and damages as available under law.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising out of or relating to this Agreement.

6. Entire Agreement

This Agreement, together with any written statements of work, schedules, and change orders signed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements and understandings, both written and oral. No amendment will be effective unless in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The parties are independent contractors; no agency, partnership, or joint venture is created by this Agreement.
