Parties and Recitals

This Client Appointment Schedule (the Agreement) is entered into by and between:

WHEREAS, the Service Provider agrees to provide professional appointment-based services to the Client consistent with the schedule set forth in this Agreement; and

WHEREAS, the Client desires to schedule and receive such services on the dates and times identified in the Appointment Schedule below and agrees to the payment and cancellation terms set forth herein; and

WHEREAS, the parties intend that this Appointment Schedule constitute a binding schedule and operating protocol forming part of the agreement between the parties.

Scope of Work

The Service Provider will render the services described below during scheduled appointments. The scope includes preparation, delivery, and reasonable follow-up related to each scheduled appointment. Specific tasks and deliverables for scheduled sessions are described in the entry for each appointment.

Payment Terms

The Client shall pay the Service Provider for the services rendered at the rates specified for each appointment and in accordance with the schedule below. Payment obligations are independent of appointment confirmation status except as provided in the Cancellation policy.

Term and Termination

Term: This Appointment Schedule commences on and continues until unless terminated earlier in accordance with this Agreement.

Either party may terminate this Schedule for convenience by delivering written notice to the other party at least days prior to the intended termination date. Termination for cause may be immediate upon written notice if the other party materially breaches this Schedule and fails to cure within 10 days of receiving written notice of such breach.

Rescheduling and Cancellation

The Client must provide at least notice to reschedule or cancel an appointment without penalty. Failure to provide the stated notice may result in a cancellation fee equal to of the scheduled appointment fee. Repeated no-shows may result in termination of services.

Confidentiality

Each party agrees to maintain in confidence all non-public, proprietary, or confidential information disclosed in connection with the appointments, including client records, notes, and any personal data provided by the Client. Confidential information shall not include information that is or becomes publicly available other than through breach of this Agreement, or information independently developed or lawfully received from a third party.

The Service Provider shall store appointment records securely and shall only retain or disclose client information as required by law or with the Client’s express written consent.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state identified by the parties at signing. The parties submit to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for any dispute arising from or related to this Agreement.

Entire Agreement

This Appointment Schedule, together with any documents expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements, commitments and understandings relating to scheduled appointments. Any amendment must be in writing and signed by both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set out above or to other addresses as the parties may later designate in writing. Notices are effective upon receipt.
