WHEREAS

WHEREAS, the Service Provider operates a business providing professional services and agrees to schedule and render services for the Client in accordance with the terms of this Agreement; and

WHEREAS, the Client desires to engage the Service Provider to perform scheduled services at the times and locations set forth in the Appointment Schedule below, and the parties desire to document payment, cancellation, confidentiality and termination provisions applicable to those appointments.

SCOPE OF WORK

The Service Provider shall perform the services described below at the scheduled appointment times. The services shall be performed with reasonable skill, care and in a professional manner consistent with industry standards.

PAYMENT TERMS

The Client is responsible for all applicable fees and any collection costs, including reasonable attorney fees, arising from failure to pay according to the Payment Schedule.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues through End Date: unless earlier terminated in accordance with this section.

CANCELLATION AND RESCHEDULING

The Client may cancel or reschedule an appointment by providing notice to the Service Provider in accordance with the Cancellation Policy below. Failure to provide required notice may result in a cancellation fee.

CONFIDENTIALITY

Each party acknowledges that in connection with the services it may receive confidential and proprietary information of the other party ("Confidential Information"). Confidential Information shall include nonpublic business and technical information, client records, pricing, and any information designated as confidential or that reasonably should be understood to be confidential. The receiving party shall (a) maintain Confidential Information in strict confidence; (b) use Confidential Information solely for the purposes of performing obligations under this Agreement; and (c) limit disclosure to employees or contractors with a need to know who are bound by confidentiality obligations no less protective than those herein. Confidential Information shall not include information that is or becomes publicly known through no fault of the receiving party or that is rightfully received from a third party without restriction.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its choice-of-law rules. The parties agree that any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located within that state.

ENTIRE AGREEMENT

This Agreement, together with any attachments or schedules signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by both parties.
