RECITALS

WHEREAS, Client seeks to engage Provider to perform certain services described in this Client Approval Form and any attachments incorporated by reference; and

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose any Confidential Information received from the other party except as necessary to perform the services or as required by law. Confidential Information includes non-public business information, technical data, trade secrets, financial information, and any material designated as confidential. The receiving party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Upon completion of each deliverable, Provider will submit the deliverable to Client for review. Client shall review the deliverable within calendar days and either (i) provide written acceptance, or (ii) provide a written list of deficiencies sufficient to permit Provider to correct the deliverable.

GOVERNING LAW

This Client Approval Form and any dispute arising out of or related to it shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction of the courts located in that state for the resolution of disputes.

ENTIRE AGREEMENT
