WHEREAS

WHEREAS, Service Provider provides consulting, advisory and related services described below and Client seeks to engage Service Provider to perform such services under the terms set forth herein;

WHEREAS, Client attests that the information provided to Service Provider is complete, accurate and that Client has authority to consent to the collection, use and disclosure of Client information to the extent required to perform the services; and

WHEREAS, the parties desire to document the scope of work, payment obligations, confidentiality expectations and other material terms governing the engagement.

Scope of Work

Payment Terms

Client shall pay Service Provider the fees set forth below for performance of the Scope of Work. All amounts are payable in United States dollars unless otherwise agreed in writing.

Term and Termination

This Agreement commences on and continues until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for the notice period specified above. Termination does not relieve Client of payment obligations for services performed through the effective date of termination, including reasonable costs incurred in wind-down.

Confidentiality

Each party acknowledges that in connection with the performance of this Agreement it may receive confidential or proprietary information ("Confidential Information"). Receiving party agrees to (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to employees, contractors or agents with a need to know and who are bound by confidentiality obligations no less protective than those contained herein; and (c) implement reasonable safeguards to prevent unauthorized disclosure. Confidential Information does not include information that is publicly known through no fault of the receiving party, was already rightfully in possession of the receiving party prior to disclosure, or is required to be disclosed by law, provided that the disclosing party is given prompt notice and an opportunity to seek protective measures.

Representations; Remedies

Client represents that the attestations above are material inducements for Service Provider to enter into this Agreement. If any representation is found to be materially false, Service Provider may suspend performance, terminate this Agreement for cause and pursue any available equitable or legal remedies, including recovery of fees and costs.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State selected by the parties below. Any dispute arising under this Agreement shall be resolved in the state or federal courts located within the agreed jurisdiction.

Entire Agreement

This Agreement, including all attachments and written exhibits signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements, proposals, negotiations and understandings. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
