WHEREAS, the parties desire that the Service Provider perform the services and be authorised to access and use certain Client information as described below, subject to the terms and conditions of this Client Authorisation Form.

Authorisation

Client hereby authorises Service Provider to act on Client's behalf solely to the extent set forth in this document. This authorisation includes the limited rights to access Client records, receive information from third parties, and to prepare and submit documents necessary to deliver the authorised services. The scope of permitted acts is strictly limited to those described in the Scope of Work below.

Scope of Work

The Service Provider will perform the following services for Client. The description below sets the authorised scope and any actions beyond this scope require prior written consent from Client.

Payment Terms

Client agrees to compensate Service Provider in accordance with the terms below. All amounts are exclusive of taxes unless otherwise stated.

Invoices shall be issued by Service Provider and paid by Client within the payment schedule above. Overdue amounts accrue interest and Client shall reimburse Service Provider for reasonable collection and legal costs incurred in enforcing payment.

Term and Termination

This Authorisation is effective as of the Effective Date and continues until the Termination Date or earlier termination in accordance with this section.

Either party may terminate this Authorisation for cause upon material breach by the other party that remains uncured thirty (30) days after written notice. Termination does not relieve Client of obligations to pay for services performed or costs incurred prior to termination.

Confidentiality

Service Provider shall treat all non-public Client information accessed under this Authorisation as confidential and shall not disclose such information except (a) with Client's prior written consent, (b) as necessary to perform the authorised services, or (c) as required by law or order of a court or governmental body. Service Provider shall implement commercially reasonable safeguards to protect confidential information from unauthorised use, access or disclosure.

Limitation of Liability

Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, special or punitive damages. Service Provider's aggregate liability for any claim arising from or relating to this Authorisation shall not exceed the total fees paid by Client to Service Provider under this Authorisation during the twelve (12) months preceding the event giving rise to the claim.

Governing Law

This Authorisation shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Authorisation.

Entire Agreement

This Authorisation, together with any exhibits or attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

Revocation

Client may revoke this Authorisation at any time by providing written notice to Service Provider. Revocation does not affect actions taken by Service Provider in reliance on this Authorisation prior to receipt of the revocation notice. Where applicable, a reasonable notice period as specified above shall apply.
