CLIENT AUTHORIZATION AGREEMENT

This Client Authorization Agreement ("Agreement") is made and entered into as of by and between Client Name: with principal address ("Client"), and Authorized Representative: with principal address ("Representative").

RECITALS

WHEREAS, Client engages in matters for which Client requires Representation and certain authorizations to be granted to a designated person; and

WHEREAS, Representative represents that Representative has the experience, authority, and capacity to act on behalf of the Client with respect to the matters set forth herein; and

WHEREAS, the parties desire to set forth the scope, limitations, and terms of the authorization granted by Client to Representative.

NOW THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. APPOINTMENT AND AUTHORITY

1.1 Appointment. Client hereby appoints Representative as Client's duly authorized representative, and Representative accepts such appointment, to act on Client's behalf with respect to the specific matters and tasks described in Section 2 (the "Authorized Matters").

1.2 Scope of Authority. Representative is authorized to take the actions expressly checked below on behalf of Client. Representative shall act only within the scope set forth; any action outside that scope requires separate written authorization signed by Client.

2. TERM

2.1 Effective Date and Term. This Agreement is effective as of the Effective Date set forth above and shall continue in full force and effect until unless earlier terminated in accordance with Section 9.

3. REPRESENTATIVE DUTIES; STANDARD OF CARE

3.1 Duties. Representative shall act in good faith, in the best interests of Client, and with reasonable care, skill, and diligence customary for persons performing similar services. Representative shall keep Client reasonably informed of material developments and shall provide records upon Client's reasonable request.

3.2 Limitations. Representative shall not exceed authority expressly granted in this Agreement. Representative shall not enter into binding obligations on behalf of Client that, in the aggregate, exceed any monetary limit set by Client in writing.

4. COMPENSATION AND EXPENSES

Representative is entitled to reimbursement for reasonable, documented expenses incurred in the performance of the Authorized Matters. Reimbursement shall be made within days after submission of receipts.

5. CONFIDENTIALITY

5.1 Confidential Information. Representative shall maintain in strict confidence all non-public information received from Client in connection with the Authorized Matters, and shall not disclose such information except as required by law or as necessary to perform the Authorized Matters and with Client's prior written consent.

5.2 Return of Materials. Upon expiration or termination of this Agreement, Representative shall promptly return or destroy confidential materials as directed by Client and certify in writing that such materials have been returned or destroyed.

6. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants to the other that: (a) it has full power and authority to enter into this Agreement and to perform its obligations hereunder; (b) this Agreement constitutes a valid and binding obligation enforceable against it in accordance with its terms; and (c) the execution and performance of this Agreement do not and will not violate any other agreement or obligation binding upon it.

7. INDEMNIFICATION

Representative shall indemnify, defend and hold harmless Client and its officers, directors and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Representative's breach of this Agreement, negligence, willful misconduct, or unauthorized acts. Client shall indemnify Representative for liabilities resulting from Client's breach or fraudulent acts.

8. RECORDS; ACCOUNTING

Representative shall maintain accurate records of actions taken and funds received or disbursed on behalf of Client. Representative shall provide periodic accounting to Client upon request and a final accounting within 30 days after termination of this Agreement.

9. TERMINATION

9.1 Termination for Convenience. Either party may terminate this Agreement for any reason upon providing written notice to the other party at least days prior to termination.

9.2 Termination for Cause. Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within 15 days after receipt of written notice.

10. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below (or to such other address as a party may designate by notice to the other).

11. AMENDMENTS; WAIVER; COUNTERPARTS

Any amendment or modification to this Agreement shall be effective only if made in writing and signed by authorized representatives of both parties. A waiver of any provision or breach shall be effective only if in writing and signed by the party granting the waiver. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state identified below without regard to conflict of laws principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

13. MISCELLANEOUS

The parties acknowledge that Representative is not an employee of Client by virtue of this Agreement and that Representative shall be solely responsible for taxes and other obligations arising from Representative's performance hereunder. The headings in this Agreement are for convenience only and shall not affect its interpretation.
