What a Client Care Letter Is and Why It Matters

Client Care Letter is a formal engagement communication used by professional service providers to set expectations with clients. It typically explains the scope of work, responsibilities of each party, billing terms, confidentiality, conflict disclosures, and termination conditions. The letter confirms who will perform the work, key deliverables, estimated timelines, and any third-party dependencies. When delivered at engagement outset it reduces misunderstandings, supports billing and risk management, and serves as a record of informed consent to the terms. Client Care Letters may be signed electronically or on paper depending on client preference and regulatory requirements.

Primary reasons to use a Client Care Letter

A Client Care Letter clarifies engagement scope, fee arrangements, and responsibilities to reduce disputes and document client consent. It creates an auditable record for compliance, supports consistent billing, and sets expectations for deliverables and timelines.

Primary reasons to use a Client Care Letter

Who prepares and receives Client Care Letters

Law firms, accounting groups, consultants, healthcare providers, and financial advisers commonly prepare Client Care Letters at engagement start.

  • Small and mid-size law firms: use letters to limit malpractice exposure and clarify billing responsibilities for new matters.
  • Medical and clinical practices: include privacy language and service limits alongside fee estimates and consent instructions.
  • Financial advisors and accountants: confirm mandates, fee schedules, and communication preferences to satisfy regulatory expectations.

Clients, in-house counsel, and procurement teams are typical recipients; letters form the basis for billing, confidentiality, and service-level expectations.

Core sections to include in a professional Client Care Letter

A complete Client Care Letter organizes key legal and operational terms so both parties can refer to a single, explicit record during the engagement.

Scope of Work

Describe specific tasks, exclusions, and assumptions. Be explicit about deliverables, milestones, and any services not included to avoid scope creep and disputes.

Fees & Billing

State billing rates, retainer terms, invoicing schedule, expense reimbursement, and late payment consequences. Clarify whether fees are estimated or fixed and how changes will be handled.

Confidentiality

Define confidentiality obligations, permitted disclosures, data handling procedures, and exceptions for disclosures required by law or professional rules.

Deliverables & Timeline

List key deliverables, expected completion windows, and dependencies. Note client responsibilities that affect timing, such as timely provision of documents or approvals.

Conflicts & Disclosures

Identify known conflicts, related-party representations, and any waivers or consent the client must provide to proceed with the engagement.

Termination & Remedies

Specify termination rights, notice periods, final accounting, and how post-termination obligations such as file transfer or document preservation will be handled.

Essential data elements to collect and confirm

  • 01
Draft the letter: Assemble scope, fees, and confidentiality.
  • 02
Internal review: Confirm conflicts and signatory authority.
  • 03
Send to client: Use email or secure eSignature link.
  • 04

How to configure an online workflow for the letter

Configuring a consistent digital workflow reduces manual steps and preserves an audit trail for every signed letter.

Field Configuration
Signer Order Set role sequence and required approvals
Authentication Method Email link, SMS code, or stronger KBA

Check that the provider offers TLS encryption in transit, AES-256 at rest, and the ability to produce an auditable certificate of completion; verify HIPAA BAA if handling health data.

Common timelines and processing expectations

Set clear internal and client-facing deadlines so work begins promptly and invoicing aligns with delivery milestones.

Issue at Engagement Start:

Provide letter before work begins to confirm consent and terms

Client Response Time:

Recommend client returns signed letter within 14 days

Billing Cycle:

State invoice frequency and Net payment terms, e.g., Net 30

Dispute Notice:

Require written notice within 30 days of invoice receipt

Electronic Consent:

Obtain ESIGN consent per 15 U.S.C. §7001(c) when using e‑records

Frequent preparation errors to avoid

  • Vague scope descriptions that leave key tasks undefined and invite later disputes or scope creep when expectations differ.
  • Using inconsistent client names or entity formats across documents, which can complicate billing and create enforceability questions.
  • Failing to document client consent for electronic delivery when consumer-facing notices are required under federal rules.
  • Omitting signatory authority verification when a corporate officer or agent signs on behalf of the client.

Potential risks if the letter is incorrect or incomplete

Fee Disputes: Client disputes invoicing
Enforceability: Terms challenged in court
Regulatory Risk: Violations for consumer disclosures
Confidentiality Breach: Unauthorized disclosures risk
Operational Delay: Work paused pending signature
Reputational Harm: Client dissatisfaction and complaints
