Either party may terminate this engagement for cause on written notice specifying the breach. For termination without cause, the terminating party shall provide written notice at least days in advance. On termination, Client shall pay for work performed to the date of termination and any non-cancellable expenses incurred by Provider.

Confidentiality

Each party shall maintain as confidential all non-public information disclosed in connection with the engagement and shall not disclose such information except to affiliates, counsel, or advisors with a need to know and who are bound by confidentiality obligations. Confidential materials shall be returned or destroyed upon written request following the conclusion of services. Breach of confidentiality shall entitle the non-breaching party to injunctive relief in addition to any other remedies at law or equity.

Governing Law

This Report and any agreement arising from it shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. Venue for disputes shall be the courts of that jurisdiction.

Entire Agreement
