Recitals

WHEREAS, Client engages Provider to perform professional services and to document Client check-in, intake information and ongoing service details in accordance with the terms set forth in this Agreement; and

WHEREAS, Provider agrees to provide the services described in the Scope of Work in a professional manner and to maintain records of Client check-in, emergency contact and consent information as required by Provider policy and applicable law.

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to services, payment, confidentiality and term of engagement.

Confidentiality

Each party shall keep confidential all non-public business, personal and health information disclosed by the other party that is identified as confidential or that given the nature of the information would reasonably be considered confidential ("Confidential Information"). Confidential Information shall not include information that is (a) already known to the recipient prior to disclosure, (b) in the public domain through no fault of the recipient, (c) rightfully received from a third party without similar obligation, or (d) independently developed without use of the disclosing party's Confidential Information. The recipient shall use at least reasonable care to protect such information and shall not disclose it except to employees, contractors or professional advisers who have a need to know and are bound to confidentiality obligations at least as protective as those herein. This obligation survives termination of this Agreement for a period of three years.

This document, including any attachments and the Scope of Work, constitutes the entire agreement between Client and Provider relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any amendment must be in writing and signed by both parties.
