Recitals

WHEREAS, Client engaged Service Provider to perform services described in the agreement referenced as Engagement Reference: dated ; and

WHEREAS, the parties desire to record the final mutual obligations, payment, return of property and any release in connection with closure of the engagement.

WHEREAS, the parties intend that the provisions set forth herein constitute a final settlement of outstanding matters between them.

Return of Property and Records

Upon execution of this form, each party shall return to the other party all tangible property, materials, documents, data and electronic records that belong to the other party. Any retained copies are subject to the confidentiality and retention provisions set forth herein.

Mutual Release and Final Certification

Subject to payment of the Final Invoice Amount in accordance with the Payment Terms above, Client and Service Provider mutually release and discharge each other from any and all claims, demands, liabilities, obligations and causes of action arising out of or related to the engagement through the Effective Date of this form, except for claims arising from fraud, willful misconduct or breaches of confidentiality.

Governing Law; Entire Agreement

This Client Closure Form shall be governed by and construed in accordance with the laws of without regard to conflict-of-law principles.
