CLIENT COA DOCUMENT

This Client COA Document (the Agreement) is entered into as of Effective Date: by and between Client Name: with Address: , and Service Provider Name: with Address: .

WHEREAS

WHEREAS, Client retains Provider to perform the services described in this Agreement and Provider represents that it has the requisite expertise, personnel and facilities to perform such services in a professional manner; and

WHEREAS, the parties desire to set forth the terms and conditions under which Provider will provide services and Client will compensate Provider as set forth in this Agreement.

WHEREAS, the parties agree that certain results, deliverables, analyses and documentation (collectively, Deliverables) produced under this Agreement shall be governed by the terms below, including confidentiality and acceptance procedures.

SCOPE OF WORK

Provider shall perform the services with reasonable skill and care in accordance with industry standards, and shall use qualified personnel to prepare and deliver the Deliverables described above. Any change to the Scope of Work must be documented in a written amendment signed by both parties.

PAYMENT TERMS

All payments due under this Agreement shall be invoiced by Provider and payable by Client within days of receipt of invoice unless otherwise stated in the Payment Schedule. Invoices shall itemize fees, expenses and applicable taxes.

Unpaid amounts shall accrue interest at a rate of % per month (or the maximum permitted by law, if lower). In addition, Client shall be responsible for reasonable collection costs, including attorney fees, associated with overdue payments.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue in effect until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon providing written notice at least days prior to the intended termination date. Either party may terminate for cause upon written notice if the other party materially breaches any obligation and fails to cure such breach within 15 days following receipt of written notice specifying the breach.

Upon termination, Client shall pay Provider for all services performed and reasonable expenses incurred through the date of termination. Provider shall promptly deliver to Client all completed or partially completed Deliverables and any Client-owned materials in Provider's possession.

CONFIDENTIALITY

Each party agrees that all non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential (Confidential Information) shall be held in strict confidence and used only for the purposes of performing obligations under this Agreement. Confidential Information does not include information that (i) is or becomes publicly known without breach, (ii) was lawfully known to the receiving party prior to disclosure, (iii) is received from a third party without restriction, or (iv) is independently developed without use of the disclosing party's Confidential Information.

The obligations of confidentiality shall survive termination of this Agreement for a period of years, provided that trade secrets shall remain protected for as long as they meet the legal definition of a trade secret.

The parties acknowledge and agree to the confidentiality obligations set forth above.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes.

ENTIRE AGREEMENT

This Agreement, including any schedules and attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment, modification or waiver of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its assets or equity.
