CLIENT COMMUNICATION CC FORM

This Client Communication CC Form (the "Agreement") is entered into as of between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client desires to receive contemporaneous copies (carbon copy, "CC") of certain communications that Service Provider sends or receives in connection with the services described herein; and

WHEREAS, Service Provider is willing to provide CC copies under the terms and conditions set forth in this Agreement, and the parties intend to define the scope, frequency, and payment for such CC services.

SCOPE OF WORK

Service Provider shall provide copies of communications to Client as specified below. Communications to be CC'd include, at a minimum, the selected types and any additional communications expressly identified by Client in the Special Instructions field.

PAYMENT TERMS

In consideration for providing CC services, Client shall pay Service Provider as set forth below. All amounts are denominated in U.S. dollars unless otherwise agreed in writing.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if such breach remains uncured for the notice period set forth above. Termination shall not relieve Client of its obligation to pay fees accrued through the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that communications and materials exchanged under this Agreement may contain Confidential Information. "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. Receiving party shall not disclose Confidential Information to third parties except as required to perform the obligations of this Agreement or as required by law, and shall use at least the same degree of care to protect Confidential Information as it uses to protect its own similar information, but in no event less than reasonable care.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction entered below, without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, including any attachments and written amendments signed by both parties, constitutes the entire agreement between Client and Service Provider with respect to CC services and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other party, except to a successor in interest in connection with a merger or sale of substantially all assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
