CLIENT COMMUNICATION CCA FORM

Parties

Recitals

WHEREAS, Client Name: seeks to engage Provider Name: to manage and document certain communications with Client's stakeholders and customers; and

WHEREAS, the parties desire to set forth the scope, protocols, fees and confidentiality obligations governing the communications and records created pursuant to this Client Communication Agreement.

Scope of Work

Provider shall perform the services described below, including but not limited to capture, logging, response coordination and archival of client-related communications, as well as periodic reporting and escalation management.

Communication Protocols

The parties agree the primary methods of authorized communications shall be identified and adhered to. Provider will document each incoming and outgoing communication record in a secure log and notify Client of high-priority items within the agreed response time.

Payment Terms

In consideration for the services provided by Provider, Client shall pay Provider as set forth below. All fees are due in accordance with the schedule and are non-refundable except as expressly provided in this Agreement.

Term and Termination

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Confidentiality

Each party acknowledges that during the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical or financial information disclosed in connection with this Agreement. Recipient shall: (a) use Confidential Information solely for performance of this Agreement; (b) protect Confidential Information with at least the same degree of care as its own confidential information but no less than reasonable care; and (c) not disclose Confidential Information except to its employees, agents or subcontractors with a need to know and bound by confidentiality obligations no less protective than those set forth herein.

Exceptions: Confidential Information does not include information that is or becomes public without breach, is independently developed, or is rightfully obtained from a third party not bound by confidentiality obligations. Upon termination, Recipient shall return or destroy Confidential Information as directed by Discloser.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction identified below, without giving effect to conflict-of-law principles that would result in the application of the laws of any other jurisdiction.

Entire Agreement

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest by merger or sale of substantially all assets. Independent Contractor: Provider performs services as an independent contractor and not as an employee, agent or partner of Client.
