SCOPE OF WORK

Service Provider shall perform the following services and related communication activities. Client agrees that communication record-keeping and timely responses are part of the scope.

All payments are due as described above. Service Provider may suspend services for overdue balances after providing written notice in accordance with the Termination provisions below. Client is responsible for reasonable collection costs, including attorney fees, for unpaid amounts.

Either party may terminate this Agreement for any reason upon written notice to the other party delivered at least days prior to termination. Termination for cause may be immediate if a party materially breaches the Agreement and fails to cure such breach within ten (10) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means nonpublic information that is identified as confidential or that reasonably should be understood to be confidential. Each party shall: (i) use Confidential Information solely to perform under this Agreement; (ii) restrict disclosure to employees or contractors with a need to know; and (iii) protect Confidential Information with at least the same standard of care it uses to protect its own confidential information, but no less than reasonable care.

Exceptions: Confidential Information does not include information that is or becomes publicly available without breach of this Agreement, independently developed by the recipient, or rightfully received from a third party without restriction. Compelled disclosure required by law or valid order is permitted provided the disclosing party is given prompt notice to seek protective relief.

COMMUNICATION RECORDS

Service Provider will maintain a log of substantive communications with Client. Such logs may include date, method, summary of topics, and required follow-up. Client may request copies of communications records in writing; Service Provider will provide records within a reasonable time and may charge a reasonable duplication fee.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction identified for governing law: without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located within that jurisdiction for any disputes arising under this Agreement.

ENTIRE AGREEMENT

This document, including all attachments and written schedules executed by the parties, constitutes the entire agreement between Client and Service Provider with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, representations, and warranties, whether written or oral. Any modification or waiver must be in writing and signed by both parties.

NOTICES

Notices required under this Agreement shall be in writing and delivered to the contact details provided above or to such other address as a party designates by written notice. Notice is effective upon receipt when delivered by hand, overnight courier, or electronic mail followed by confirmation.
