CLIENT CONFIDENTIALITY CONSENT FORM

Parties and Contact Information

WHEREAS

WHEREAS Client, represented above, desires to engage the Service Provider to perform professional services and, in connection with such engagement, may disclose non-public, proprietary, or sensitive information; and

WHEREAS Service Provider has the capability to provide the requested services and is willing to receive and use certain Confidential Information for the limited purposes described herein on the terms set forth below; and

NOW, THEREFORE, in consideration of the mutual covenants contained in this Consent Form and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows.

This Agreement commences on and continues until , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice of days to the other party. Either party may terminate immediately for material breach that is not cured within a commercially reasonable period after written notice specifying the breach.

Confidentiality

Definition: "Confidential Information" means all non-public information disclosed by Client to Service Provider, whether oral, written, electronic or visual, that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including but not limited to business plans, financial data, customer lists, trade secrets, technical data, and personnel information.

Obligations: Service Provider shall (a) hold Confidential Information in strict confidence; (b) not use Confidential Information except as reasonably necessary to perform the Scope of Work; and (c) not disclose Confidential Information to any third party except to employees, contractors or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. Service Provider shall exercise at least the same degree of care in protecting Confidential Information as it uses to protect its own confidential information, but in no event less than a reasonable standard of care.

Permitted Disclosures: Confidential Information may be disclosed if required by law, regulation, or valid order of a court or governmental body, provided Service Provider gives Client prompt written notice of the requirement (unless prohibited) and cooperates with Client in seeking a protective order or other remedy. Any disclosure under such compulsion shall be limited to the minimum required.

Return or Destruction: Upon termination or upon Client's written request, Service Provider shall promptly return or certify the destruction of all Confidential Information and all copies, summaries and extracts thereof, except to the extent retention is required by applicable law, regulation or professional recordkeeping requirements, in which case retained materials remain subject to confidentiality obligations.

Duration: The confidentiality obligations set forth herein shall survive termination of this Agreement and shall remain in effect for years from the date of disclosure of each item of Confidential Information, or for the maximum period permitted by law if longer.

Client Consent to Use and Processing

Client hereby expressly consents to Service Provider's collection, use and limited disclosure of Client's Confidential Information solely as necessary to perform the Scope of Work and related services. Client acknowledges that such processing may include transmission to third-party service providers engaged by Service Provider for data processing and storage, provided such parties are contractually bound to confidentiality and data security obligations.

Remedies; Limitation

The parties acknowledge that unauthorized disclosure or use of Confidential Information may cause irreparable harm for which monetary damages may be inadequate. Accordingly, Client shall be entitled to seek injunctive or equitable relief in addition to any other remedies available at law or in equity. Except as otherwise provided, neither party shall be liable for indirect, incidental or consequential damages arising from performance of this Agreement.

Governing Law; Entire Agreement

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

Entire Agreement: This document constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.
