CLIENT CONFIRMATION FORM

This Client Confirmation Form (the Agreement) is entered into as of Agreement Date: by and between Service Provider Name: and Client Name: .

WHEREAS

WHEREAS, Service Provider is engaged in the business of providing professional services described herein and has the qualifications, experience and ability to perform the services set forth in this Agreement; and

WHEREAS, Client desires to retain Service Provider to perform the services on the terms and conditions set forth in this Agreement and Service Provider agrees to provide such services pursuant to the terms below.

SCOPE OF WORK

Service Provider shall perform the services described below (the Services). Services shall be performed in a professional and workmanlike manner in accordance with applicable industry standards.

PAYMENT TERMS

In consideration for the Services, Client shall pay Service Provider in accordance with the following terms. Service Provider will invoice Client as set forth below and Client shall pay undisputed amounts in full when due.

Client shall pay undisputed invoices within the number of days specified above following receipt. Disputed items shall be raised in good faith and the parties shall cooperate to resolve such disputes promptly.

Any amount not paid when due shall accrue interest at the late fee rate specified above and Client shall be responsible for reasonable costs of collection, including attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least the number of days specified above, provided that Client shall remain liable for fees and expenses incurred through the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that it may receive Confidential Information from the other party. "Confidential Information" means non-public information disclosed in writing, orally or by inspection that is identified as confidential or which by its nature should reasonably be considered confidential. Each party shall: (a) hold the other party's Confidential Information in strict confidence; (b) not disclose it to any third party except as permitted by this Agreement; and (c) use it solely for the purpose of performing its obligations under this Agreement. Confidential Information does not include information that is or becomes publicly available without breach, is already in the receiving party's possession, or is independently developed without use of the disclosing party's Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any disputes arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, including any attachments or statements of work incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous negotiations, proposals, understandings and agreements, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.
