CLIENT CONSENT ADDENDUM

This Client Consent Addendum (the Addendum) is entered into effective as of by and between:

WHEREAS

WHEREAS, the Client and the Service Provider are parties to an existing agreement titled Client Services Agreement dated (the Agreement); and

WHEREAS, the parties desire to document the Client's express consent to modifications and additional matters described in this Addendum, and to confirm certain terms and conditions that will govern the parties' relationship with respect to such matters.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

SCOPE OF WORK

The Service Provider shall perform the additional or modified services described below pursuant to the Agreement and this Addendum. The scope described below supplements and, where inconsistent, amends the Agreement only to the extent expressly stated herein.

PAYMENT TERMS

The Client agrees to pay the Service Provider for the additional services described above in accordance with the following terms.

All payments due under this Addendum are in addition to amounts otherwise due under the Agreement. Failure to pay amounts due when payable shall constitute a material breach and entitle the non-breaching party to exercise all remedies under the Agreement and at law, including suspension of services until payment is received.

TERM AND TERMINATION

The term of this Addendum shall commence on and shall terminate on unless earlier terminated in accordance with this Section.

Either party may terminate this Addendum for material breach by the other party if such breach remains uncured for the notice period specified above. Termination of this Addendum shall not relieve either party of obligations incurred prior to the effective date of termination, including payment obligations.

CONFIDENTIALITY

In connection with the performance of this Addendum, the parties may disclose Confidential Information to one another. "Confidential Information" means information designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party agrees (a) to use Confidential Information solely for the purposes contemplated by this Addendum, (b) to protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but no less than reasonable care, and (c) not to disclose Confidential Information to any third party except as expressly permitted in writing. The obligations in this section survive termination of this Addendum for a period of three (3) years.

The Client hereby provides the following consents as required to implement the scope described above. The Client's selection of the boxes below constitutes an affirmative, written consent to the applicable action.

GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for the resolution of any disputes arising out of or relating to this Addendum.

ENTIRE AGREEMENT

Except as expressly modified by this Addendum, the Agreement remains in full force and effect. This Addendum, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment to this Addendum will be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Addendum is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Headings are for convenience only and shall not affect interpretation.

Each party represents and warrants that it has full power and authority to enter into this Addendum and that the individual signing this Addendum on its behalf is duly authorized to do so.
