Recitals

WHEREAS, Client has retained Provider to perform certain professional services described herein, and Client desires to provide affirmative consent, release, and authorization necessary for Provider to perform those services; and

WHEREAS, Provider represents that it has the expertise to perform the services and requires Client's express written consent for specified uses of Client information, records, and likeness; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the scope of work, compensation, confidentiality, and the use of Client data and materials.

Scope of Work

Consent and Authorization

Client hereby authorizes Provider to collect, access, use, retain, and disclose information and materials as necessary to perform the Scope of Work, subject to the Confidentiality provisions below. Client grants the following specific consents (check all that apply):

Use of image, voice, and likeness for documentation, internal reporting, and promotional materials where permitted by law.

Release of relevant records to third parties as necessary for performance of services, including consultants, contractors, and payment processors.

Collection and processing of personal data as described in the Scope of Work and for billing, scheduling, and legal compliance.

Client affirms that the consents provided are voluntary, that Client has authority to grant the consents, and that Client may revoke consent in writing subject to Provider's obligations to retain records and to process actions already taken in reliance on the consent.

Term and Termination

Either party may terminate this Agreement for convenience upon days' prior written notice. Provider may terminate immediately for material breach by Client, including nonpayment, or if continued performance would violate applicable law.

Upon termination, Client shall pay for all services performed and costs incurred through the effective date of termination. Provider shall, at Client's reasonable request and at Client's expense, assist with an orderly transition to a successor.

Confidentiality

"Confidential Information" means nonpublic information disclosed by one party to the other that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information shall not include information that: (a) is or becomes generally known to the public other than through a breach of this Agreement; (b) is rightfully received by the receiving party without restriction from a third party; (c) is independently developed without use of the disclosing party's Confidential Information; or (d) is required to be disclosed by law or court order.

Each party shall: (i) use Confidential Information solely for the purposes of performing its obligations under this Agreement; (ii) protect Confidential Information with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; and (iii) limit access to Confidential Information to employees and contractors who have a need to know and are bound by confidentiality obligations no less protective than those in this Agreement.

The confidentiality obligations shall survive termination of this Agreement for a period of years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising under this Agreement.

Entire Agreement; Miscellaneous

This Agreement, including any exhibits and accepted scopes of work, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or waiver shall be effective unless in writing and signed by both parties.

Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or in connection with a merger, sale of substantially all of Provider's assets, or a change of control, provided that the assignee assumes the obligations of Provider hereunder. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
