CLIENT CONSENT DOCUMENT

This Client Consent Document (the Agreement) is entered into as of Effective Date: by and between Client Name: with Contact: and Service Provider Name: with Contact: .

WHEREAS

WHEREAS, Client desires to engage Provider to perform certain services and tasks as described in this Agreement, and Provider agrees to provide such services under the terms and conditions set forth herein.

WHEREAS, Client acknowledges that Provider will collect, store and process certain Client information necessary to perform the services and that Client's informed consent to such collection and processing is required.

WHEREAS, the parties intend that this Agreement set forth all material terms regarding scope, compensation, confidentiality and consent for the performance of the services.

SCOPE OF WORK

Provider shall perform the services with due professional care and in accordance with industry standards. Any material changes to the Scope of Work shall be documented in a written amendment signed by both parties, which shall describe any change in deliverables, schedule and compensation.

PAYMENT TERMS

Client shall pay Provider in accordance with the Payment Schedule. Amounts not paid when due shall accrue interest at the rate specified in Late Payment or, if none is specified, at the lesser of one and one-half percent (1.5%) per month or the highest rate permitted by law. Client is responsible for all collection costs, including reasonable attorneys' fees, incurred to collect overdue amounts.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon providing the other party with written notice in accordance with the Notice Period for Termination. Either party may terminate immediately for material breach by the other party if such breach is not cured within thirty (30) days after written notice of breach. Termination does not relieve Client of the obligation to pay for services performed and expenses incurred prior to termination, including any non-cancellable commitments made by Provider in reliance on this Agreement.

CONFIDENTIALITY

"Confidential Information" means all non-public information disclosed by either party to the other, whether oral, written or electronic, that is identified as confidential or that a reasonable person would understand to be confidential under the circumstances. Confidential Information does not include information that: (a) is or becomes publicly available through no breach of this Agreement; (b) is rightfully received from a third party without restriction; (c) is independently developed without use of the other party's Confidential Information; or (d) is required to be disclosed by law, provided the disclosing party gives prompt written notice and cooperates in any lawful effort to limit disclosure.

Each party shall: (i) use Confidential Information solely to perform its obligations under this Agreement; (ii) restrict disclosure to its employees, contractors and agents who have a need to know and are bound by confidentiality obligations at least as protective as those in this Agreement; and (iii) take reasonable measures to protect the other party's Confidential Information from unauthorized disclosure. The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years, or longer if required by applicable law with respect to personal data.

CLIENT CONSENT

By signing below, Client provides the following consent authorizations and acknowledgements:

I authorize Provider to perform the services described in Scope of Work and to engage subcontractors or agents as reasonably necessary to complete the work, provided Provider remains responsible for their performance.
I consent to Provider collecting, storing, and processing personal and business information as necessary to provide the services, in accordance with applicable law.
I consent to Provider's limited use of non-confidential deliverables or anonymized results for promotional, portfolio or case study purposes, subject to prior written approval for the use of Client's logo or trademarks.
I consent to disclosure of information to third parties only to the extent necessary to perform the services or as otherwise required by law.

Client acknowledges that consent may be withdrawn in writing; withdrawal of consent will not invalidate processing undertaken prior to receipt of withdrawal but may affect Provider's ability to provide services and may be treated as Client's termination of this Agreement in accordance with the Term and Termination provisions.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to its conflict-of-law principles. The parties agree to negotiate in good faith to resolve disputes and to submit to the exclusive jurisdiction of the courts located in that jurisdiction for any unresolved disputes.

ENTIRE AGREEMENT

This Agreement, including any exhibits or amendments executed by the parties, constitutes the entire agreement between Client and Provider regarding the subject matter hereof and supersedes all prior and contemporaneous communications and proposals, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held unenforceable, the remainder of the Agreement shall remain in full force and effect. Neither party shall assign this Agreement without the other party's prior written consent, except that Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.

Notices under this Agreement shall be sent to the contact information provided above and shall be effective upon receipt.
