CLIENT CONSENT RELEASE

RECITALS

WHEREAS, Client Name: , with primary address: (hereinafter the "Client"), desires to engage Provider Name: , with primary address: (hereinafter the "Provider"), to perform services and to obtain certain rights to Client's name, likeness, testimonial and related materials.

WHEREAS, the parties wish to set forth the terms on which Client grants permission and releases certain claims in connection with the use of such materials effective as of Effective Date: .

SCOPE OF WORK

The Provider will perform the services and create or collect materials as described below. The Client hereby consents to the creation, recording, reproduction and use of such materials in accordance with the terms of this Release.

CONSENT AND RELEASE

Client grants to Provider and Provider's affiliates, licensees and assigns a perpetual, worldwide, royalty-free, transferable, sublicensable right to use, reproduce, distribute, publish, display, perform, and create derivative works of Client's name, likeness, image, voice, biographical information, statements, testimonials and any recordings or photographs taken in connection with the Scope of Work (collectively, the "Materials"), in any media now known or hereafter developed, for advertising, marketing, promotional, editorial and commercial purposes.

Client hereby irrevocably waives any right to inspect or approve the finished product or its uses and releases Provider from any claims, demands, liabilities or causes of action arising out of or related to the use of the Materials, including claims for defamation, invasion of privacy, or infringement of moral rights to the extent permitted by law.

PAYMENT TERMS

TERM AND TERMINATION

This Release shall commence on Start Date: and shall continue through End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Release upon written notice to the other party delivered at least Notice Period (days): days prior to the effective date of termination. Termination shall not affect Provider's right to continue to use Materials previously created and distributed in reliance on this Release.

CONFIDENTIALITY

The parties acknowledge that certain information disclosed in connection with the Scope of Work may be confidential. Each party agrees not to disclose Confidential Information of the other except as required by law or as necessary to effectuate the purposes of this Release. Confidential Information shall not include information that is or becomes publicly available through no fault of the receiving party, is rightfully received from a third party without restriction, or is independently developed by the receiving party without use of the disclosing party's Confidential Information. Confidentiality obligations shall continue for Confidentiality Period (years): years following termination.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of any third-party claim to the extent caused by the indemnifying party's breach of this Release, negligence or willful misconduct. Client further acknowledges that Provider's use of Materials as authorized herein is within Client's grant and releases Provider from related claims to the extent permitted by law.

GOVERNING LAW

This Release shall be governed by and construed in accordance with the laws of Governing State: , without regard to its conflicts of laws principles.

ENTIRE AGREEMENT

This Release, together with any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any modification of this Release must be in writing signed by both parties.

REPRESENTATIONS

Client represents and warrants that Client is of legal age and has full right, power and authority to enter into this Release and to grant all rights and licenses granted herein. Client further represents that no third-party consents are required for the rights granted and that the execution of this Release does not violate any agreement or obligation of Client.
