WHEREAS

WHEREAS, the Client previously granted consent to the Service Provider for the processing and use of personal data and other specified services under the original consent agreement dated ; and

WHEREAS, the Client and Service Provider now desire to renew and restate that consent on the terms set forth in this Client Consent Renewal Form in order to continue the provision of services described below.

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the parties agree as follows.

SCOPE OF WORK AND SCOPE OF CONSENT

The Client hereby renews consent for the Service Provider to undertake the following categories of processing and activities (check all that apply):

PAYMENT TERMS

Payment obligations described above are independent of Client's consent and failure to pay any amounts when due constitutes a breach of this agreement permitting the Service Provider to suspend services after providing the notice required under Term and Termination.

Either party may terminate this Renewal for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above. Termination shall not relieve the Client of obligations to pay fees accrued prior to termination.

CONFIDENTIALITY

Each party shall maintain as confidential all non-public information disclosed in connection with the services and shall not disclose such information to any third party except as necessary to perform the services or as required by law. Confidential information does not include information that is or becomes publicly available without breach of this Agreement.

Client acknowledges that the Service Provider may use aggregated or anonymized data derived from Client information for business purposes provided that such use does not identify the Client or Client's individuals.

Client acknowledges and agrees to the Confidentiality terms above.

REVOCATION OF CONSENT AND NOTICES

The Client may revoke consent at any time by providing written notice to the Service Provider at the contact information provided below. Revocation of consent will not affect processing that occurred prior to receipt of revocation where processing was based on consent given prior to revocation.

GOVERNING LAW; ENTIRE AGREEMENT

This Client Consent Renewal Form shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws principles.

This Renewal, together with any incorporated exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral, relating to such subject matter.
