Either party may terminate the engagement for convenience upon written notice to the other party. Required notice period (days):

Termination shall not relieve the Client of the obligation to pay fees for services rendered and expenses incurred prior to termination.

Confidentiality

For the purposes of this engagement, "Confidential Information" means non-public information disclosed by one party to the other in connection with the consultation. The receiving party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform the services described herein; and (c) not disclose Confidential Information to third parties except as required by law or with prior written consent. Confidentiality obligations shall survive termination of this engagement for a period of three (3) years, except for trade secrets which shall remain protected for as long as they qualify as trade secrets.

Exceptions: Confidential Information does not include information that is or becomes publicly known through no breach of this agreement, is independently developed without use of the other's Confidential Information, or is rightfully received from a third party without restriction.

Governing Law; Entire Agreement

Governing Law: This agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles.
